HISTORY
The company was incorporated
on 22nd December, 1964 at Mumbai in Maharashtra having Company
Registration Number 13088.
Subject was incorporated as a
private limited company in 1964 and was known as Khatau Junker. It became a
deemed public limited company in 1979. It was promoted by Mr. Dharamsey Khatau.
At present, it is managed by Mr. Dilip Khatau.
The company in collaboration
with Otto Junker, Germany, manufactures capacitors under the brand name Khatau
Junker. In 1981, it set up facilities for the manufacture of insecticides like
malathion, dimethoate, monocrotophos, phosphamidon, etc.
A rights issue was made in
1992 and the proceeds were utilized for manufacturing of Vat Dyes and
Monocrotophos plant capacity was increased. Commercial production commenced at
the modernised plant in March, 1995. A new effluent treatment plant was
installed in 1996-97.
The
installed capacity of Vat Dyes was increased to 120 TPA in their Ankleshwar
plant and has also achieved the highest level of production.

REVIEW OF OPERATIONS:
SALES, PROFITABILITY AND
PRODUCTION :
During the year under
review, the Company's turnover has seen a reduction in value from Rs.779.900
millions to Rs.777.500 millions showing a marginal decline. This is due to the
decrease in our selling prices because of stiff competition from China even
though the sales quantity have seen a upward trend.
The total production has
marginally decreased from 447 MT to 425 MT due to lack of availability of the
required finance to set off the increase in the prices of major raw materials.
Though there was enough demand for finished goods, the Company could not cope
up, due to sharp increase in the cost of production. In view of this the
Trading Division Sales was Rs.427.400 millions during the current year as
compared to Rs.399.200 millions in the previous year. The turnover of
manufacturing division was Rs.350.100 millions during the year as compared to
Rs.380.900 millions in the previous year.
PROSPECTS:
In view of the sharp
increase in the'cost of raw materials which are petroleum based, the prices of
which are moving upward globally, the price realisation have shrunk
considerably leading to reduction in contribution. Further the international
competition have stiffened to such an extent that the prices of our product
have come under tremendous strain in the domestic and international markets.
Still Company is making all round efforts to contain costs and effecting
profitable orders.
MANAGEMENT DISCUSSION AND
ANALYSIS:
The Company is
manufacturing Vat Dyes at Plot No.2900, GIDC Industrial Estate, Dist. Bharuch,
Ankleshwar, Gujarat. The Company cater to both Domestic and International market.
Our products have application in important industries like textiles etc. The
Company
has geared up production
significantly to meet the demand- We have a good team of technical and
commercial professionals and expertise in Dyes, Manufacturing and Marketing.
Apart from manufacturing of
Vat Dyes, the Company is also involved in marketing of various other dyestuff
like Reactive Dyes, Direct Dyes, Acid Dyes and Napthol Bases Specialty Textile
Auxiliaries and Sizing Chemicals used by Textile Industry. Further, our
Technical Executives are spread over various parts of the country who not only
provide Technical services to our customers for our products, but also help
their clients in solving their own Technical problems. This has resulted into a
relationship where our Company is looked upon by many of our customers as
partners in business and not just as suppliers.
Profitability for the year
was affected due to increasing competition from both local manufacturers and
imports, as well as steep increase in raw material prices, especially
petrochemicals. During the current financial year performance is expected to
remain at
the same level as the last
financial year. However, the Company is trying its best eff6rts to achieve
optimum level of production. The current year's profits are severely affected
due to increase in the cost of inputs which are Petro based, whose prices have
sharply increased globally. Hence the profit margin have come under strain as
increase in finished product cannot be increased due to stiff competition both
domestic as well as international front.
Biodata
Indokem Ltd.(formerly Khatau
Junker Ltd), a part of Khatau Mahendra Group is promoted by Dharamsey Khatau. A
diversified company some times earlier with active presence in Electrical products,
Insecticides and Dye stuffs, the company has divested its business interest in
Electrical products and Insecticides and concentrates on manufacture of
Synthetic Organic Dye Stuffs.
Incorporated as a private limited company in 1964 in the name of Khatau Junker,
it became a deemed public limited company in 1979. Consequent to the merger of
erstwhile Indokem Ltd with Khatau Junker Ltd in 1995-96, the name of the
company changed to Indokem Ltd from Khatau Junker Ltd effective from Oct 18,
1996.
In collaboration with Otto Junker, Germany, the company manufactured capacitors
under the brand name Khatau Junker. The company diversified and commeced
manufacture of insecticides like malathion, dimethoate, monocrotophos,
phosphamidon, etc in 1981. In this regard it set up a production facility.
Later again in 1992 the company diversified into manufacture of Vat dyes and
its new dyes plant commenced commercial production 1992 in stages. The Vat dyes
plant was part financed by the rights issue made in 1992. The proceeds from
this rights issue is also used to fund the modernisation and expansion of its
agro chemicals plant.
The company has divested its Electrical division which manfuactures capacitors
to one of its subsidiary i.e Kapsales Electricals Ltd effective from March 31,
1995 to give more attention to this division. Subsequently the company also
sold its Agro chemcicals division which is into manufacture of insecticides to
Rallis Industrial Chemicals Ltd for a consideration of Rs.21 crores in Sep 30,
1996.
The installed capacity of Vat Dyes was increased to 120 TPA in there Ankleshwar
plant and has also achieved the highest level of production.
The fixed asset of the
important value of the company includes plant & machinery, building,
stocks, etc.

INDOKEM LIMITED was set up in
the year 1946 to manufacture process and market a wide range of exclusive dyestuffs
to the growing textile industry in India. From its very inception, INDOKEM has

PROFILE
In 1874, Seth Khatau Makanji laid the
foundation stone of Khatau Makanji Spinning and Weaving Company Limited. Soon
Khatau sarees, voiles and fabrics became synonymous with high quality premium
fabric. From these early days, the group has grown into a multidimensional
enterprise, covering industries such as Textiles, Chemicals, Dyestuffs,
Shipping, Electrical Cables, Footwear, etc.
In the late 20th Century,
business has become more competitive and the Group has confirmed, formed

Indonon Vat Dyes
For Yarn Dyeing, Continuous Dyeing & Pastes
INDONON range of vat dyes is complex derivatives of
anthraquinone. These dyes have excellent all-round fastness properties when
applied to cellulosic textiles.

Incomine and Light Fast

Indocron M Dyes
Indocron M Dyes are fibre
reactive dyes which are characterized by simplicity of dyeing and great
diversity of produced colours. the dueing produced with the aid of Indocron M
Dyes are exceptionally brilliant with high light fastness on cellulosic fibres
and fabrics.
Indocron HE Dyes
Indocron HE Dyes are
specially developed for dyeing cotton and other cellulosic materials. These
dyes possess significantly high exhaustion and fixation efficiency even at high
material to liquor ratios and therefore particularly recommended to dye cotton
Hosiery goods on Winches.
Disperse Dyes
Disperse Dyes are derived
from anthraquinone. The particles of vat dyestuffs in this form have been
ground to extremely small size with the help of most modern techniques. These
powders are easily dispersable and are suitable for dyeing cotton yarns
packages and cotton piece goods by batch wise and continuous dyeing methods. It
can be used for exhaust dyeing as well.

Our Indonon Vat Dyes factory was started in 1980s on a sprawling complex at
Ankleshwar. This is an ultra modern plant specialised in Anthraquinone
Chemistry, which manufactures a range of Anthraquinone based Vat Dyes - Ultra
Conc powders, Micro Disperse Vat Dyes and Vat Pastes.
Indokem ventured into manufacturing Anthraquinone series of Vat dyes in 1990’s
to cater the growing needs of Textile Industry. The project set up on an area
of over 40 acres has an investment of about Rs. 350 million. The factory is
located at Ankleshwar in Gujarat State, about 300 km north of Mumbai.
