NORMAL TERMS.

Forecast
(or estimated) figures for 31/03/2006 fiscal term
This is a general trading house specializing in chemicals,
textiles and foodstuffs as its core earning sources. Established originally on the basis of a cotton division spun off
from Mitsui & Co, a leading general trading house, Tokyo. Due to financial difficulties, the firm
received financial aegis from the main banking group, UFJ Bank, on two
occasions, followed by additional financial injection from Toyota Tsusho group
(see REGISTRATION). Undergone a drastic
restructuring including capital decrease from Yen 66,185 million down to Yen
44,199 million already n Apr 2003.
Staff was cut to 4,641 from the previous 6,584. Reportedly, the firm will merge with Toyota
Tsusho Corp next Apr, with Toyota Tsusho the surviving entity. Total sales of the group are expected to
rise to Yen 4,900,000 million, surpassing Sojitz Holdings Corp. The subject firm is reportedly achieved its
goal of halving the debts and work force one year ahead of schedule. The merger ratio will be determined after
Tomen Corp settles the treatment of roughly Yen 72,000 million debts from UFJ
Bank and other lenders. The merger is
expected to generate synergy in a wide range of areas, as the two trading firms
businesses hardly overlap. Toyota
Tsusho mostly handles automobile & machinery, while Tomen is strong in
chemicals & electronics. Tomens
wide global networks will contribute to the sales expansion.
The
sales volume for Mar/2005 fiscal term amounted to Yen 1,577,303 million, a
1.67% down from Yen 1,604,084 million in the previous term. The recurring profit was posted at Yen
25,050 million, up 16% up from the previous Yen 21,585 million, and net profit
at Yen 9,627 million, 157% up from the previous Yen 3,753 million,
respectively. By divisions, Chemicals
Div remained almost similar. Although
the sales fueled by higher demand in China and S/E Asian and surging prices for
petrochemical products, it was offset by the conversion of a consolidated
subsidiary active in the life science business into an eq1uity-method affiliate
in the second half of fiscal 2005. Produce
& Foodstuffs Div rose Yen 13,500 million to Yen 230,600 million thanks to
robust imports from China. Textile Div
reorganized existing business and operations decreased by Yen 74,700 million to
Yen 185,200 million. Machinery &
Energy Div saw increased exports of automobiles to Australia and Mid East,
crude oil imports from Iran remained steady, and consequently sales rose Yen
1,900 million to Yen 2,600 million in the sector. Electronics Div sales rose Yen 46,900 million to Yen 279,400
million, thanks to performance of Tomen Electronics, a subsidiary trading firm,
acting as agent for Samsung Electronics, Korea.
For
the current term ending Mar 2006 the recurring profit is projected at Yen
27,000 million and net profit at Yen 10,000 million respectively, on a 7.8%
rise in turnover, to Yen 1,700,000 million.
Business tie-ups ahead of the merger with Toyota Tsusho will likely
contribute to boost the sales.
The
financial situation is considered RATHER WEAK but should be good for MODERATE
business engagements. Max credit limit
is estimated at Yen 7,019.9 million, on normal terms. The proposed amount is considered well within the firms
financial capabilities.
