LG Chem, Korea’s biggest chemicals producer, said it will not tolerate executives and employees engaged in unethical and illegal business activities, as part of its efforts to strengthen transparency in management and improve corporate governance.
At an in-house leadership workshop held at the LG Chem institute in Osan, Kyonggi Province from Wednesday-Thursday, the company’s CEO Kim Bahn-suk urged his staff not to get trapped by temptation that would lead them to practice business unfairly.
``The nation’s economy and chemicals market are going through hard times, casting a shadow over management,’’ said Kim. ``Mindful of this, some of the far-sighted managers may be lured into operating their businesses unethically as a means necessary to reach the company’s projected goals.’’
The chief executive said this was the wrong approach. In times of hardship, the company needs to put extra efforts into reforming the management system and expanding in-house education for staff on how to run an ethical business, Kim said.
Some 110 LG Chem employees and executives both from home and abroad attended the two-day lecture on ways to strengthen the company’s management and corporate governance.
``Anyone who gets caught in business irregularities that range from illegal financial transactions with subcontractors to swindling customers will be penalized,’’ said a spokeswoman at LG Chem. ``The company will either fire that person or freeze his or her managerial rights for a certain period, depending on the seriousness of the matter.’’
Also at the leadership program, the CEO noted that a company that achieves its target goals by practicing business honestly is truly the winner in today’s red-hot competition.
``Although our management has moved ahead of others in practicing friendly business [in Korea], we must push further to become one of the world’s top-tier chemicals company like BASF and Dow Chemical that have a high-level of corporate governance and management.’’
LG Chem has been giving lectures on ``Righteous Management’’ over 40 times a year for its staff and business partners since 2003 when it established an ethics department.

LG Chem., Korea’s largest chemical company, has developed an environmentally-friendly way of mass-producing terephthalaldehyde (TPAL), an important ingredient for special fabrics such as bulletproof vests, flame retardant clothes and space suits.
Overall, LG Chem has already applied for several patents and is currently waiting for approvals from the United States, Japan, Germany and nine other countries, the company said Tuesday. The company plans to sell its technology license and start production by 2008.
TPAL is an organic synthesis intermediate material for dyestuffs, pharmaceuticals, specialty polymers, and electronic materials. It is now mostly used to produce fluorescent whitening agents.
The existing TPAL production process is harmful to the environment as it uses chlorine as a reactant and emits hydrochloric acid as a by-product. Another problem with the process is that it is not cost effective enough to mass-produce. Currently, China and India are major producers.
LG Chem’s new manufacturing process resolved these problems by using air instead of chlorine, thus making the process environment-friendly. Furthermore, LG Chem lowered production costs by implementing its own high performance catalyst and optimized the overall production process.
``The new process holds great significance as it is both environment-friendly and cost effective,’’ said Yeo Jong-kee, president of LG Chem.
The company’s ability to mass-produce, could cut the price of TPAL down to more than half of its current price, broadening its usage and opening a wider market for the product.
LG Chem is the flagship leader in the chemical business in terms of both size and performance. It is a vertically integrated chemical company that manufactures a wide range of products from petrochemical goods to high-value added plastics and high performance industrial materials.
It also extends its chemical expertise to high-tech materials for electronics and information technology such as cutting-edge rechargeable batteries and display materials.

Subject: Methanol Powers Portable Fuel Cell for Notebook PCs

LG Chem, South Korea’s No.1 chemical company, has developed the world’s most efficient portable fuel cell that can power a notebook PC for longer than 10 hours.
The company Wednesday took the wraps off the futuristic fuel cells that use methanol and announced it will commercialize the product by late this year.
``This is a kind of miniature electric generator aimed at providing electricity for those who frequently use notebook PCs or power-hungry info-tech devices on the move,’’ LG Chem spokesman Kim Dong-joo said.
A fuel cell is a mechanism for transforming chemical energy such as hydrogen and methanol into electricity. Unlike batteries that require recharging, a fuel cell can produce electricity as long as it has fuel.
A cartridge containing methanol provides fuel, which combines with oxygen to generate electricity. The cartridge can be replaced after the methanol runs out.
Kim added the newfangled fuel cell boasts a durability of over 4,000 hours, about eight times longer than the norm, and each cartridge would run a notebook PC for up to 10 hours.
``People will also be able to recharge their handset batteries with fuel cells as they now do at home or in the office with power plugs. One cartridge would allow them to recharge a cell phone hundreds of times,’’ Kim said.
At a size of 17.2 centimeters by 10.6 centimeters, the fuel cell is 5.4 centimeters thick and weighs 1.5 kilometers, a little too big to carry.
``We will halve the size and weight of the product before its commercial launch late this year while doubling the amount of electricity it can generate. A fuel cell will retail at about 500,000 won and a cartridge would sell for thousands of won,’’ Lee said.
LG Chem’s chief technology officer Yeo Jong-kee expects the market for fuel cells will open up soon, thus enhancing the company’s footing.
``Our fuel cell, which has durability and reliability, provides us a great opportunity to outpace competitors and to gain a strong presence in the global market,’’ Lee said.
``Once the global codes and standards for portable fuel cells are prepared this year, we will start commercialization by meeting growing demands in such areas as laptops, mobile handsets and portable electronic devices for the military.’’
Lee expects the global demand for portable fuel cells will expand 28.3 percent each year for the next five years from $600 million next year to $1.9 billion in 2010.

Subject: LG, LS, GS to Compete in Rechargeable Battery Market

The LG Group and its sibling business groups are poised to clash in the rechargeable battery market.
Last year, the LG Group said it would split up the nation’s second-largest business group.
Back then, the chaebol affirmed that the demerger is aimed at better catering to customer needs and accommodating the various production focus requirements through a diverse business portfolio. It also said that the business scope of the three entities would not overlap.
However, apart from the affirmation made a year ago, the three groups are forecast to draw bead on one another in the rechargeable battery and fuel cell markets. The three-cornered competition is just around the corner.
With long-lasting fuel cells, an alternative to existing lithium-ion batteries that have recycling and degradation problems, electronic and information device users need not go through the annoyances of recharging computers and power cables that physically restrict their mobility.
The GS Group and the LS Group have recently announced their plans to either initiate or strengthen the rechargeable battery business, turning back on LG Chem, which they used to subsist under one roof.
The two business groups hitherto have restrained themselves from encroaching upon business areas in which their former siblings have been engaged.
Nevertheless, attracted by the enormous growth potential of the rechargeable battery and next-generation electronic material business, the two demerged business groups have broken the taboo of averting a competition that eat away market share of former sister companies.
GS Caltex, formerly LG-Caltex Oil Corp., recently changed the name of its fuel cell subsidiary Clean Energy Technologies, Inc. (CETI) to GS Fuel Cell under a scheme to strengthen its fuel cell business and foster the business into a next-generation growth engine.
``As our fuel cell business focuses on the household-use appliances at the moment, we are unlikely to compete directly with LG Chem at the moment,’’ said GS Fuel Cell chief executive Bae Jun-gang.
GS Fuel Cell plans to focus on household-use fuel cells in the short-term but expand its reach to notebook and portable electronic and communication device fuel cell segments in the long-term.
``But there’s also no reason for us to keep avoid direct competition against LG Chem in the fuel cell market segment for portable devices,’’ he added.
CETI was a fuel cell joint venture set up by LG-Caltex and Florida-headquartered Dais Analytic Corp. back in October 2000.
The LS Group also unveiled an ambitious plan to concentrate its resources on developing the rechargeable battery related material business into its key cash cow.
The mid-sized conglomerate, which produces telecom cables and related components, power and control cables, electronic parts, copper wire rod and industrial machinery, has mapped out a long-term blueprint to grow into a leading parts and material supplier by 2012, having rechargeable battery material as a pillar business.
The LS Group targets 15 billion won in sales in the high-end copper foil and copper clad laminate business, including those for rechargeable batteries.
``LG Chem is an important business partner and a key client as witnessed in our joint development of rechargeable battery-use anode cathode active material,’’ LS Cable senior vice president Choi Myung-gyu said.
``But we (LS Cable and LG Chem) will still carry on with our independent project to develop an anode cathode active material of our own by the end of this year as planned,’’ Choi said.
LG Chem, Korea’s No. 1 producer of rechargeable batteries, plans to roll out the portable-use fuel cell product in the latter half of the year, adding it to its previous strong product line ups of lithium-ion and lithium-polymer batteries. The chemicals firm plans to roll out portable fuel cells and those for notebook PCs in the second half of this year.
The company also began developing substances for rechargeable batteries such as anode active materials.
``As cost is the most important element for raising competitiveness in the rechargeable battery market, we will develop substances such as cathode anode active material and electrolyte’’ said a manager at LG Chem.
Since 2003, LG Chem has been beefing up its production of rechargeable lithium-ion batteries and polarizers mostly used in mobile devices. The company seeks to become the top supplier of polarizers as to put it on a par with Sanyo Electric of Japan for leadership in rechargeable batteries.
In longer term, LG Chem also wants to be a crucial player in fuel cells and solar cells.
LG Chem is determined to leapfrog its global rivals. By 2010, LG expects to pour $1 billion into a plant at Ochang, south of Seoul, for next-generation batteries and other new gadgets.
LG Chem still has a big advantage against its two former sibling companies: its tie to LG Electronics. LG Electronics is world’s No. 5 mobile handset maker and global top-tier supplier of a handful of other portable electronics gizmos.
As long-term rechargeable battery business plans of the subsidiaries of the three conglomerates suggest, LG Chem and GS Fuel Cell are forecast to compete in the fuel cell market and LG Chem and LS Cable in the battery material market.

LG Group is strengthening its eco-friendly management with an aim to become a top-tier multinational corporation.
South Korea’s third-largest conglomerate said yesterday that it has decided environmental management will be a key component of success in future.
With Environment Day tomorrow, LG Group said it would devise and customize environmental management systems for each of its affiliate firms and subsidiaries and work to develop eco-friendly electronic products.
As part of attempts to strengthen environmental management, LG Electronics will remove all hazardous heavy elements from all electronic modules and products and LG Chem will launch pollutant-free production at its plants.
LG Evergreen Foundation will also reinforce its public environmental campaigns.
LG Electronics plans to expand the lead-free soldering manufacturing system, which was applied to a limited number of items including liquid crystal display (LCD) televisions, washing machines and air conditioners since 2003, to entire products starting July this year.
LG Group’s drive to strengthen its environmental management follows a worldwide implementation of tightened industrial environmental regulations due to the Kyoto Protocol that took effect on Feb. 16.
The RoHS, which stands for the restriction of the use of certain hazardous substances in electrical and electronic equipment, will be enforced by the European Union July next year. With the launch of the RoHS rules, the EU will ban the sale of electronics goods that contain hazardous substances.
A total of six substances will be restricted under the RoHS directive: four metal substances namely lead (Pb), mercury (Hg), cadmium (Cd), and hexavalent chromium (Cr VI) and two groups of organic flame retardants, PBB (polybrominated biphenyls) and PBDE (polybrominated diphenyl ethers).
RoHS is aimed at reducing waste management problems linked to substances that are likely to pose health and environmental risks.
In preparation for the strengthened environmental regulations, LG Electronics plans to produce all products in accordance with the RoHS regulations starting next month.
LG.Philips LCD has also removed all hazardous materials from its LCD products.
LG Chem has mapped out an environmental management goal for 2006 to reduce energy consumption levels by 18 percent, waste water by 50 percent and waste matter by 40 percent from 2001 levels.
Moreover, the chemicals firm will organize a task force to cope with the Kyoto climatic protocol. It is also conducting research on improving production processes such as replacing raw materials and filtering pollutants from wastewater to reduce polluting discharges by its plants.
Last year, LG Chem familiarized itself with eco-friendly building materials that are free of formaldehyde, a well-known health risk because it pollutes air inside buildings.
LG Evergreen Foundation also plans to strengthen its forestation business this year.

LG Chem, the nation’s largest chemical company, saw its net profit fall 22.6 percent in the first quarter this year from the same period last year as higher crude oil prices and a stronger won against the dollar worsened its business bottom line.
LG’s profits came to 118 billion won ($118 million) for the first three months ending in March, down from 152 billion won a year ago, the company said in a statement on Friday.
Operating profit also dropped 16.4 percent from a year ago to 141 billion won but sales rose 16.1 percent to 1.86 trillion won.

Top management of LG Chem, the nation’s largest chemical company, has said the company will continue its strategy of globalizing businesses and manpower.
``The company has firmed up efforts to become a global player under our `hybrid strategy’ over the past few years,” LG Chem president No Ki-ho said in a press conference held at the Westin Chosun Hotel last Friday.
``The two-pronged strategy is to relocate products that have lost competitiveness overseas, while retaining products with growth potential in the local market.
``Overseas expansion is critical for the company’s growth. First of all, the local market is saturated. Secondly, the overseas production of certain products is cost effective in various aspects, including labor, tariffs and logistics cost, compared with the domestic production.’’
In particular, Korea’s labor cost for the production of some chemical products is higher than that in advanced nations like the U.S., he said. LG Chem will open an acrylic solid surface factory in the U.S. this year.
LG Chem’s globalization initiative yielded results in terms of overseas sales. In 2004, overseas sales as a percentage of the total reached 46 percent and the company aims to raise that to 50 percent this year and to 57 percent by 2008.
The chemical firm now has a presence in China, India, the U.S. and Germany.
China is the key for the chemical firm’s overseas businesses, taking half its overseas sales.
The company is also concentrating on research and development (R&D) to raise its product competitiveness as a global chemical giant.
No said LG Chem plans to increase R&D investments by 30 percent to 250 billion won this year.
Investment in people will also be expanded to cultivate a globalized workforce. No and other executives also went to the U.S. in person last month to hunt for overseas talent.
``Overseas talent tends to be better than domestic for language capability. I believe language skills are essential for a global company,’’ No said.
LG Chem plans to expand the high-tech part of its business portfolio, such as information and electronic material, No added.
Currently, as a percentage of total sales, petrochemical takes 55 percent, industrial material and information 30 percent and electronic materials businesses 15 percent.
``Our company aims to raise the proportion of sales from the information and electric materials business to 26 percent by 2010,’’ No said.
The nation’s chemical giant posted a record high of 7.12 trillion won in sales last year, a 26 percent increase over 2003. Operating profit increased 9 percent to 522 billion won.
It expects to achieve 7.48 trillion in sales this year, a 5 percent increase over 2004.

LG, the nation’s largest chemical company, has set up a fuel cell research and development center in Korea University, Seoul.
It is the first lab based in the university and will play a central role in the corporate-university cooperation of LG Chem, the company said.
The center’s 80 research pools will focus on developing clean energy technology, including fuel cells, in addition to further study on next-generation display materials.

LG Chem Ltd, the nation’s largest chemical company, said it plans to raise $30 million by issuing euro-denominated debts.
It will use the proceeds from the sale of three-year debts as operating capital, the company said in a regulatory filing.
The debts will carry an interest rate of the six-month London Interbank Offered Rate plus 0.6 percentage point.

LG Chem, the nation’s largest chemical company, said it has set its overseas sales target, including exports and sales from its operations in other countries, at $4.5 billion for this year, up from $3.4 billion last year.
Sales from exports and overseas operations will take up more than half of its domestic and overseas sales this year, the company said.
LG Chem aims to raise sales from exports and overseas operation to as high as $7.4 billion by 2008.
To attain this goal, the chemical unit of LG Group will strengthen its overseas marketing and production activities in China and other nations.
In China, it will integrate marketing activities of its units into its Chinese holding firm, solidify its dominance in various petrochemical goods and diversify its businesses into electronics materials and construction parts.
China-related sales, including exports to China and sales from its Chinese operations, are expected to rise 22 percent year-on-year to $2.89 billion this year, it said.

LG Chem said Monday that its net profits surged 48.1 percent last year from a year ago, helped by rising exports.
The bottom line came to an estimated 536.4 billion won ($521.9 million), the chemical maker said in a preliminary filing with the Korea Stock Exchange.
Sales rose 25.6 percent to 7.13 trillion won, with operating profit climbing 9.1 percent to 522.9 billion won.
LG Chem said it is targeting 7.48 trillion won in sales and 714.5 billion won in investment for 2005.
The company added that it will focus on information and electronics materials businesses as well as its battery businesses this year.

A partnership between the Koo and Hur families of LG Group has come to an end after 57 years.
14 affiliates including GS Holdings split off from LG Groups, and the split was endorsed by the Fair Trade Commission on January 27. LG Group said that it would now focus on reemerging as a global leader in electronics and chemical sectors.
As a result, the number of total affiliate under LG Group has been reduced to 37 companies including 8 electronics companies, 7 chemical companies, and 21 communication and service companies.
LG Group plans to focus on achieving its goal of becoming a world-class company through its first-class management practice and accelerate its growth by expanding its global businesses, securing and nurturing competent workers, and establishing itself as one of the top 3 global brands.

LG Chem is hoping to be ranked No. 1 in the polarizer market in 2006 and in the secondary battery sector in 2008. The company also plans to aggressively invest in its PVC and ABS businesses to emerge as a top global chemical company by 2008.
LG Group will focus its efforts on nurturing and establishing its electronics and chemical divisions as top global brands. For this, the company has created a brand management team to manage and nurture its brands in overseas markets.
A source at LG said, “By focusing on our electronics and chemical divisions, we will try to enhance our management system and maximize the value in our human resources to emerge as a global leader.”
In spite of the split, LG’s sales and capitalization are not expected to fall.
LG reached 82 trillion won in sales in 2004 and is planning to increase the figure by 15% this year to 94 trillion won. Its capitalization is also reaching 35.2 trillion won based on its enhanced management transparency and outstanding results of its major affiliates including LG Electronics and LG Chem.

Subject: FTC Loses Legal Battle With LG

The dispute over the excessive surcharge imposed by the nation’s anti-trust regulator is brewing again as the Seoul High Court last Friday gave the case to LG Chem in a penalty legal battle with the Fair Trade Commission (FTC).
The FTC ordered a corrective measure and imposed 12 billion won in surcharges to the nation’s leading chemical firm in April 2001, saying the chemical company violated the Fair Trade Act by conducting an unfair intra-transaction.
In 1999, LG sold its 20.63 million shares in LG Petrochemical at 5,500 won per share, which was lower than market value of at least 6,839 won, to 23 closely related people, including LG.Phillips LCD vice chairman Koo Bon-joon and GS Holdings chairman Huh Chang-soo.
LG took the FTC to court for the annulment of the excessive surcharge, claiming that stock transactions are not subject to a competition-restraining factor.
The Seoul High Court concluded that although people with connections with a conglomerate receive benefits from an affiliate of the business concerned, it is hardly possible to define it as an anti-competitive business practice unless it is proved the favor hampers fair transactions in the market.
The court added that the restraint on wealth succession activities in an irregular manner goes beyond the objectives of the Fair Trade Act.
In response to the court decision, the FTC will allegedly appeal to a higher court.
In a similar case, the FTC lost the legal dispute with the Samsung Group last September.
The Supreme Court annulled 15.8 billon won of surcharges imposed on an unfair inside-trading at the nation’s largest business in a similar case to LG’s.
In 1999, Samsung SDS issued 23 billion won in bonds with warrants (BW) and intentionally sold them at a price lower than market value to closely-related people, including Lee Jay-young, the son of the group chairman, four siblings and two executives of the group.
It was certain the price gap reaped enormous profits for the underwriters, but the highest court concluded the FTC failed to prove the unfair practice in market competition.
``The court rulings request the FTC to be more cautious when it judges anti-competitive business practices and decides the amount of surcharges on a corporation, which sometimes could be big enough to take a company to an edge of collapse,’’ industry watchers pointed out.
