Holding Firm Boon to Stock

Shares of companies that announced they would adopt a holding company system are rising steadily on the main bourse, creating a new trend.

 

Doosan Corp. extended its winning streak into a fourth straight session on Friday, rising 1.76 percent to 69,200 won on expectations that the company will soon become the holding company for the Doosan Group.

 

Doosan has stepped up its restructuring efforts to adopt a holding company system by 2009. A holding company refers to a company that holds managerial responsibility for the group, with the power to draw up and implement group business strategies and supervise group management.

 

Analysts also issued a positive outlook for Kumho Industrial whose shares have recently been sluggish due to a debt increase in acquiring Daewoo Engineering & Construction, noting that the company became the holding company of Kumho Asiana Group.

 

Kumho will report to the authorities next month that it will transform itself into a holding company as the value of its stake in affiliates amounts to 67 percent of total assets.

 

Under the current law, a company can be a holding company when the value of its stake in affiliates exceeds 50 percent of total assets. To become a holding company, the debt ratio of a holding company also should fall below 100 percent.

 

``The adoption of a holding company will have a positive impact on stock prices as it tends to improve corporate governance, which is one of the weakest parts of Korean conglomerates,’’ said Lee Sang-hun, an analyst for CJ Investment & Securities.

 

``The holding company trend will last in the market for a while as there are a number of companies reviewing adopting this format.’’

 

SK, Kolon, Hanhwa and Hansol Groups are allegedly considering plans to change their governance structure.

 

A fund investing in holding companies or holding company candidates also benefits from the trend.

 

``Holding Company Plus Stock 1,’’ launched by CJ Asset Management on January 15, posted a 5.19 percent return for the past two months. The result looks satisfactory given that the benchmark Korea Composite Stock Price Index (KOSPI) rose just 0.02 percent during the period.

 

``Investors expect the holding company system to raise the value of Korean firms which have been discounted due to their less competitive governance structure,’’ Lee said. ``Companies could also reorganize their business structure in the course of transforming themselves into holding companies, selling off non-core and under-performing businesses.’’

 

Other analysts, however, think the holding company system is not always a positive factor for stocks, saying what is important is how much a holding company can manage and support the core businesses of its affiliates.

 

 

New CEO Set to Retool Doosan

Doosan Group said yesterday James Bemowski has started working as the new CEO and vice chairman of Doosan Corp., becoming the first foreign chief executive in a Korean conglomerate.

 

The appointment of Bemowski, a veteran in finance who was the chief consultant of McKinsey Korea, will help bring the group’s management up to global standards, Doosan said in a release. He is also expected to lead the structural reform of Doosan’s corporate governance to a holding company system.

 

``It is a great honor for me to join Doosan as the CEO of Doosan Corporation, the mother company of Doosan, which has a proud history and heritage of 110 years,’’ Bemowski said in his inauguration speech. ``I am very excited to be back in Korea, as well, which is like a second home to me.’’

 

Doosan will be headed by two vice chairmen, Bemowski and Yoo Byung-taek, who is also the chairman of board. The group chairman’s seat has been left vacant since Park Yong-sung resigned a year ago amid a dispute with family members over the group’s control.

 

Bemowsky was deeply involved in initializing Doosan’s reform drive. He had served as the regional chief of McKinsey & Company Korea from 1992 to 1998. Under his supervision in 1996, McKinsey advised Doosan to sell off its non-core businesses and to improve its cash flow.

 

``He would know a lot about Doosan Group since he was the McKinsey chief at the time,’’ a Doosan official said on Wednesday.

 

Bemowski also will have a reunion with Kim Yong-sung, who was the project leader at Mckinsey at the time. Kim now works as the chief strategy officer of Doosan Infracore, a core subsidiary.

 

Doosan has successfully changed its corporate image from a beer seller to a heavy industry powerhouse over the past 10 years. In 1996, food and beverage businesses such as Oriental Brewery accounted for 42 percent of its revenue, and most people associated the group with OB Beer or the OB Bears baseball club.

 

Since then, the group has gone through an intensive restructuring program. It has sold shares in its core consumer good businesses, such as 3M, Nestle, Coca-Cola, and Oriental Brewery and Chongachip Kimchi. Instead, it took over Korea Heavy Industries, which is now Doosan Heavy Industries & Construction, in 2001, and Daewoo Heavy Industries & Machinery, now Doosan Infracore, in 2005. The two machinery manufacturers have become the pillars of the group, bringing in about 80 percent of the group’s total revenue last year.

 

Under Bemowski’s leadership, Doosan will now undertake a more delicate project of reforming the governance structure. Currently, it is controlled under a circular investment scheme typical of Korean family-oriented conglomerates. Doosan Corp. is the largest shareholder of Doosan Heavy Industries, which is in turn the largest shareholder of Doosan Infracore and Doosan Industrial Development. Closing the loop of shareholding, Doosan Industrial Development has the largest stake in Doosan Corp. The group has pledged that within three years it will reshape to a holding company system.
