The SC is principally engaged in the (as a / as an) banking and finance.

The Group's principal activity is the provision of commercial & merchant banking.

Malayan Banking Berhad is the holding company overseeing Malaysia's largest bank, Maybank and a range of financial sector subsidiaries. Maybank offers a full range of commercials, corporate, and private banking services.

The company operates more than 20 branches in Singapore and the Philippines and also has a banking presence in most of the other Southeast Asian markets, including Brunei, Papua New Guinea, Indonesia, and Vietnam. The bank also operates branches in New York and London. Maybank was the first Malaysian bank granted the right to establish a branch office in China, a particularly important market given the large and economically powerful ethnic Chinese population in Malaysia.

Other activities are the provision of financing services, leasing, andfactoring, general and life insurance, discount house, stock and futures broking, trustee and nominee services, property investment unit trust management and venture capital. The Group currently operates in Malaysia, Singapore, Brunei, thePeople's Republic of China, Hong Kong, Vietnam, the United Kingdom,the United States of America, Cambodia and Bahrain.

The SC is the first bank in Malaysia to implement the use of Automated Teller Machines (ATM) and to establish a shared ATM network with its subsidiaries. It is also the first local bank to introduce telephone banking servicein 1991 which allows customers to conduct their banking transactions as well as pay utility bills, among others, through telephone.

With its Desktop Banking system, the SC allows its corporate customersto carry out banking transactions using personal computers at their offices.

MAS Electronic Ticketing (MASET) which was introduced in 1997, marked the first ticketless travel convenience for domestic flights on Malaysia Airlines. It was later expanded to include flights to Singapore.

The SC and Mayban Finance ATM cardholders enjoy theconvenience simply by making a confirmed booking with the airline andthen effecting payment through Kawanku ATMs.

The SC is also the first bank in South East Asia to offer a personalised financial planning service at no cost to customers.Specially trained Financial Executives at the SC's branches helpassess customers' financial needs and then recommend a combination of insurance and other banking packages to help customers plan their financial future, wisely.

In order to provide greater convenience through the SC group's combined network strength, cross banking transaction services were introduced in 1997 which enable the SC and Mayban Finance customers tocarry out certain banking transactions at either the SC or MaybanFinance branches.

Kawanku ONLINE offers two new ways of conducting banking transactions,shares trading and bill payments through personal computers orhand-held Electronic Terminal (ET). Either mode allows customers tobank on the move from anywhere in the world.

The SC has the largest proprietary ATM network in Malaysia with over700 ATMs in just the Maybank Group alone and over 2,500 shared ATMswith a consortium of banks managed by the Malaysian ElectronicPayments System (MEPS).

The SC today has more than 4 million deposit accounts and over half amilion loan accounts.

The SC has launched its first internet financial portal,www.maybank2u.com. The services include the opening of accounts,balance enquiry, funds transfer, cheque status enquiry, stopping payment of cheque, bill payment, online stock investment, insurance application and renewal, online shopping and electronic procurement which available from 6.00am to 12 midnight and would be extended to 24hours a day by the end of the year.

In addition, Maybank2u offered the investing public online stockinformation, news feeds from Bernama and Reuters as well as financial planning tools and information which is available 24 hours.

In conjuction with the launch of Maybank2u, the SC also announced the introduction of i-Account, a unique online deposit account that pays interest based on fixed deposit rates and allows a customer to viewhis/her statement online. With a minimun initial deposit of RM500, thei-Account offered interest calculated daily and paid monthly, optional cheque book facilities as well as free personal accident insurancecoverage of up to RM50,000.

The SC currently has about 796 ATMs, 22 cash deposit machines, 17cheque deposit machines and 130 passbook update machines. To date, theSC operates 16 e-Kawanku outlets. However, the SC will have 30e-Kawanku self-service outlets throughtout the country by June this year in order to provide greater and easier banking facilities to itscustomers.

The SC, as the largest credit card issuer and acquirer, is one of thepioneer banks to implement online purchases via the Secure ElectronicTransaction (SET) system.

It offers sale online shopping to cardholders and provides merchants an avenue to promote their products and services on the internet to card holders. Currently, the SC has more than 450,000 card users.

According to the SC, it will further commit to provide online payment solutions to both its business partners and the public.

The SC has corresppondent banking relationship with over 700 foreign banks through out the world and it has presence in all the major financial centres of the world with branches in London, New York, HongKong and Singapore.

The SC's Business Banking comprises:

1) Business Plus - a complete financial flexibility without having to suffer any premature deposit upliftment.

2) FAC3 Plus - an integrated industrial property financing packages specially tailored for small and medium industries.

3) Government Aided Loan Schemes - comprises fund for food, small andmedium industries, rehabilitation, new enterpreneur, New Principal Guarantee Scheme (NPGS), Franchise Financing Package (FFP) and EquityFinancing Fund (EFF).

In January 2001, the SC completed the exercise to merge with The Pacific Bank Bhd, followed by that with PhileoAllied Bank (Malaysia) Bhd a month later.

In April, the merger of PhileoAllied Securities Sdn Bhd with Mayban Securities Sdn Bhd was completed.

The IT infrastructure of the mergee institutions was sucessfully integrated onto a single platform withina period of about five months.

The SC's branch network was further rationalised following the integration of the IT infrastructure, and in all a total of 60 additional branches have been added to the network bringing the Group total to 441 branches nationwide. branches and 2 representative offices.

Presently the SC has about 441 branches in Malaysia, 22 branches in Singapore and International about 8 branches.

Malayan Banking Bhd (Maybank) has revised downwards its purchase price for a 15% stake in Vietnam's An Binh Bank (ABBank) to RM327.1 million from the RM430 million it had agreed to pay last March. In a statement yesterday, Maybank said the revised price was mutually agreed by the two banks in view of the change in economic environment in Vietnam. Under an agreement entered last March, Maybank would have been entitled to subscribe to 15% of ABBank's paid-up capital for RM430 million. Maybank also entered into a strategic cooperation and knowledge transfer agreement with ABBank to provide technical assistance in consumer banking, network, treasury, business banking, risk management, human resource, information technology and corporate governance. ABBank in return will provide Maybank with the infrastructure, facilities, logistics, support and resources in Vietnam.

Maybank yesterday said it had entered into a supplemental agreement with ABBank to amend certain terms of the agreement in relation to the purchase consideration and manner of satisfaction of the purchase consideration of the proposed acquisition. With the execution of the supplemental agreement, the total purchase consideration for 15% of the total paid-up Charter Capital of ABBank has been revised downward to approximately 1.58 trillion dong or the equivalent of approximately RM327.1 million.The revised purchase price was mutually agreed between Maybank and ABBank in view of the change in economic environment in Vietnam, it said. Maybank said that after the completion of the subscription of 15% in ABBank, not later than Dec 30, 2008, the latter may distribute shares via a bonus issue to existing shareholders, excluding Maybank.

Malayan Banking Bhd (Maybank) has ruled out the possibility of acquiring a Thai bank this year as it wants to focus on its present acquisitions. Its president and chief executive officer Datuk Seri Abdul Wahid Omar said Maybank was keen to venture into such markets as Laos, Myanmar and Thailand, as it was the banking group's strategy to have a footprint in the Asean region. However, he said there were no immediate plans to expand into these markets, given that Maybank had recently acquired equity stakes in banking groups in Vietnam, Indonesia and Pakistan. Speaking to reporters after launching the Multi Channel Payment Service for Tax Payments with the Inland Revenue Board here yesterday, Wahid said: It (entering new markets) is not likely to happen this year. With three acquisitions, we have our plates full already.Maybank, however, would keep to its intention to raise its stake in Vietnam's An Binh Bank to 20% as it wanted to be a long-term investor in Vietnam, despite the country facing economic problems currently.

Malayan Banking Bhd's (Maybank) bid for an indirect stake in PT Bank Internasional Indonesia Tbk (BII) from Singapore state investment firm Temasek is expected to be firmed up in June, analysts said. According to a Financial Times news report, Temasek's unit Fullerton Financial Holdings Pte Ltd is seeking to sell its 75% stake in Sorak Consortium, which in turn, is a controlling shareholder in BII. A check on BII website shows that as at Dec 31, 2007, Sorak Consortium owned a 55.85% stake in the Indonesian bank. According to the FT report, Maybank is believed to be the front-runner for the stake in BII, which is worth about S$800 million (RM1.83 billion). BII has a market capitalisation of 17.4 trillion rupiah (RM6.12 billion).

The SC aims to set up four more Maybank2u.com lounges in shopping malls in the Klang Valley during the financial year ending 30 June 2008. With Internet banking gaining predominance, the bank aimed to provide banking services in non-traditional locations such as shopping malls to cater to the 'changing lifestyles of customers'. The bank would allocate RM250,000 to RM500,000 for each Maybank2u.com lounge, which it anticipates to set up in high traffic areas.

4 August 2007

The SC aims to disburse about RM500mil in loans through its receivables financing package for the financial year ended 30 June 2008. The demand for such loans would be driven by the burgeoning trade between the Japan and Malaysia, which is describing as a "substantial market" that offered many "opportunities to extract from".

The new financing package was launched via a strategic partnership signed yesterday with Mizuho Corporate Bank Ltd (Mizuho), a member of the Japan's Mizuho Financial Group. Under this partnership, Maybank will provide the financing package while Mizuho will provide up to 100% guarantee to secure the receivables financed by Maybank. With this financing package, small and medium enterprises (SMEs) and corporate borrowers would be able to obtain financing against their receivables without additional collateral. It will particularly benefit the export-driven SMEs that export to customers of Mizuho in Japan.

The SC has introduced AsiaPac Hybrid Capital Protected, a structured deposit product with an initial size of RM200mil. The product is aimed at offering 100% capital protection and a minimum 8% guaranteed return upon maturity. The unique feature of AsiaPac Hybrid was that regular income payments would be made throughout the investment tenure. The SC planned to grow its investment assets to more than RM10bil over the next five years, supported by the launch of new products.

The SC targets to grow its cashless retail purchases made via credit, charge and debit cards by 20% over the next 12 months from RM18bil as at end-June. the growth would be driven by higher consumer demand as well as the increase in online transactions particularly for the purchase of airline tickets.

The Maybankard Treats Fair 2007 and three new innovative services for the bank's credit and charge card members was lauched yesterday. The fair was part of Maybank's ongoing initiative of leveraging on technology to promote cashless transactions where redemption, payments and contests were all done electronically. With "global eShop", American Express (Amex) charge card members will now be able to access all e-shopping and e-commerce sites in the United States.

The Malaysia's banking sector has a lot to live up to in 2008 amid post-merger expectations and an environment of fierce competition, although there is optimism for the sector, boosted by the resilient local economy. The Mergers and acquisitions (M&As) were inevitable due to mounting competition, which would erode the profitability of local players exacerbated by the expansion of foreign banks. Islamic banking is also set to take the limelight this year 2008, as conventional banks roll out their Islamic subsidiaries, and with last year's emergence of Middle Eastern players.


The research house had projected a loan growth of between 8% and 9% in 2008, underpinned by Ninth Malaysia Plan (9MP) credit demand and an expected revival in consumer loan growth. Banks would also see non-interest income growth, with fee income expected to grow at 10%, amid declining loan loss provisioning in line with the improvement in non-performing loans (NPLs). Revenue is expected to grow at a faster pace than expansion in overheads and hence cost-to-income ratio would improve, signifying greater operating efficiency. The increased competition in the loans market had caused banks to switch their focus to non-interest income, while the disintermediation of banks had led to a consistent rise in consumer loans, as most corporate borrowers turned to the capital market to raise funds. Research stated that banks would also be faced with the challenge of expanding their market share, while any move to expand overseas should be backed by world-class domestic operations.


The foreign ownership of banks could be liberalised in the future while multi-party negotiations would add further impetus for industry consolidation. Therefore, the local banks need to diversify their income base now, as the domestic market has reached saturation stage as depicted by declining loans growth and margin compression. The development financial institution (DFIs) continue to provided financing to support development of the targeted sectors, including agriculture, high technology and capital-intensive industries, infrastructure and small and medium enterprises (SMEs) as well as exports.


The financial services sector is expected to grow at an average of 7% per annum, while its share of gross domestic product (GDP) is forecast to increase to 15.8% by 2010 under the Ninth Malaysia Plan (9MP). A total of RM6.38 billion has been allocated under the 9MP (2006-2010) to develop the sector, of which RM1.6 billion is for venture capital. Under the 9MP, the government wants the Islamic banking industry to expand in parallel with conventional banking. Islamic banking industry is expected to constitute 20% of the overall banking and insurance industry.

 


Note : The Ninth Malaysia Plan (9MP) was tabled in Parliament on March 31, 2006, is the five-year blueprints within the new National Mission policy and implementation framework from now until 2010. Malaysia is expected to see some structural changes and improved performance in the economy.

Formed in 1960, the SC was listed on Main Board of the Bursa Malaysia Securities Berhad on 17 January 1962. It has provided a banking and financial services. Being a public listed company has enabled the SC to have direct access to the capital market for funds required for its future expansion and continued growth. The SC has large paid up capital of RM4.88 billion and strong shareholders' backing. With these favourable conditions, the SC has minimised its risk in the industry compared to other players.


The Maybank Group is the largest banking group in Malaysia with the largest network of branches. The SC has provided its services through its network of branches, subsidiaries, associates and representative offices all over Malaysia and overseas countries such as Singapore, United States, Southeast Aia and so forth. In line with the SC's global market penetration, it will likely help strengthen the SC's position in the market. Hence, its future growth prospect remains bright. Operating in a large scale with staff strength of 24,500, the SC has capable management team.


For the financial year ended 2008, the Group's turnover continued on an upward momentum, reaching RM16.15 billion compared to RM15.17 billion in year 2007. Its pre-tax profit however dropped to RM4.08 billion. Return on shareholders' funds of the Group was at an acceptable range which indicated that the management was efficient in utilising its funds to generate income. The Group's capital adequacy ratio has decreased to 7.17% which shows that the growth of the Group is limited and the Group may faces shortage of funds. However, with a loan deposit ratio of 77.86%, the SC is poised to expand its loan growth when the economy recovers. Given a comfortable net worth standing at RM19.3 billion, the Group should be able to maintain its business in the near terms.


The SC has no trade supplier as it is a service providing company.


Based on our financial historical data, we concluded that the SC's overall payment habit is good.


The banking and finance industry continues to grow and the growth prospect is bright. This has created ample business opportunities for the SC to expand and stabilise its business. As a well-known company, it has competitive edge against other players in the same field.
