Procurement and execution of jobs have been much better than previous
year resulting in increased turnover and profitability.
Subsidiary Companies:
As required under
Section 212 of the Companies Act, 1956the Audited Statement of Annual Accounts
and Reports of the Subsidiary Company for the financial year 2006-2007 is
annexed. However, the accounts of The Jaipur Udyog Limited ., for the financial
year 2006-2007 are still under finalisation and audit, hence they could not be
annexed hereto. The production of this Unit could not start due to prolonged
legal proceedings and continued labour trouble.
Auditors' Report:
As regards the
observations of the Auditor most of them are informative and their Report also
contains comments offered by the Company. The note forming part of the annual
accounts also adequately deal with their remarks and provide the required
explanations.
Directors:
Shri N.D. Saraf and Shri
K.M. Morarka retire by rotation at the ensuing Annual General Meeting and being
eligible offer themselves for re-appointment.
The Board in its meeting held on 13th March, 2007 inducted Shri Sachit Baran
Sarkar as an Additional Director and he has been appointed as
Whole-time-Director and designated as Executive Director for a period of five
years.
As Additional Director he holds office upto the ensuing Annual General Meeting.
His appointment as Executive Director and payment of remuneration is subject to
approval of shareholders.
The Company has received a notice from a member informing his intention of
proposing the name of Shri Sarkar as a Director of the Company in the ensuing
Annual General Meeting.

History
From 1895, Mr. Henry
Gannon and Mr. J.H. Dunkerley were in business in India. They joined together
in 1918 to form the subject. In 1924, it was incorporated as a Private
Limited Company and the change in management from the previous one to the
present one took place in 1946. In 1948, it was converted into a Public
Limited Company.
Originally, the Company
activities were mainly in trading. Subject diversified into Civil Engineering in
the early thirties. Several bridges, roads and aqueducts including in-house
design for some of them were constructed during this period. Several airfields
were also constructed during the Second World War. Subject were one of the
earliest to adopt pre-stressed RCC construction when it came into vogue in the
early fifties.
In the eighties, when the thrust has been in the Industrial Projects, Subject
have risen to the demands of customers for their Fertiliser plants, Steel
plants, Cement plants, Refineries, Factory projects, Chimneys and the like.
Infrastructure works, for which they were pioneers till 1978, had to take a
back seat, as not much similar works were coming up after 1980. The Company has
also developed expertise in Mechanical fabrication and erection works in
Structural steel, piping and Erection of mechanical equipment from mid fifties.
Subject have their own piling division to cater for bored and driven RCC piles
of all diameters. From the seventies, the Company has started environmental engineering
works with facilities to take up turnkey projects of water treatment, sewage
treatment and effluent treatment. Subject have established a plant to
manufacture pre-stressed concrete sleepers for Railways in Rayagada (Orissa) in
1990.

system designed to transfer out bound baggage from terminal to tarmac and
inbound baggage back again. Subject provided reliable and economically designed
conveyor system to suit airport's architectural design in compliance with
international standard and safety regulations.

· List of key personnel with their Bio-data
· Experience Certificates issued by clients for similar works
Contractors who have worked earlier with the company or are presently working
are also required to submit fresh application in the above manner for
considering their names in the list of pre-qualified contractors.
