BUSINESS OVERVIEW

The year was a significant year for your Company. The Company progressed development of 90 Mw Miyar Hydro Electric power project and 320 Mw Seli Hydro Electric power during the year. The Company is in advance stages of finalization of detailed project reports of these projects. These projects were also granted approval for Terms of Reference by Ministry of Environment during the year. To further strengthen presence in power generation the Company also initiated efforts for acquisition of new hydro assets in North and North Eastern parts of the Country. The Company has also applied for allotment of PV based solar power projects under government of India scheme.

During the year, the Company also completed a successful fund raise of $ 300 m from US based private equity major Blackstone Group. This raise will assist the Company in implementation of its current energy portfolio besides development of new power projects.

The Company has also made investments in its subsidiary companies which are implementing various power projects. The subsidiaries achieved significant milestones for different projects which are under different stages of implementation. Moser Baer Clean Energy Limited (MBCEL) attracts an investment of Rs.3000.000 Millions in Sardinia Project by GE

New Delhi, October 20, 2011 – A greenhouse nearing completion in Italy will tap the sun’s energy to grow crops while generating electricity from its roof-mounted photovoltaic modules in a project developed by Moser Baer Clean Energy Limited (MBCEL) into which GE (NYSE: GE) unit GE Energy Financial Services is investing Rs.3000.000 Millions. The first phase of the project will have 20-megawatt capacity and is built near Cagliari in Sardinia, Italy.

The greenhouse solar power project’s first five megawatts began providing power to Italy’s national electrical grid operator on Aug. 30, and 15 more megawatts are expected to go into service shortly. The project -- known as “Su Scioffu” – is in Villasor, a 7,000 member community economically suffering from the closure of a sugar factory. With its greenhouse operations, the project will support employment and agriculture by adding up to 90 jobs. The total project’s 20 megawatts will generate enough electricity to power approximately 10,000 Italian homes, and it will avoid more than 25,000 tons of CO2 emissions every year from coal- and oil-fired power plants.

The greenhouse, located on 66 acres, will help Italy, which installed more solar power in 2010 than any other country except Germany, achieve its target of generating 23 gigawatts from the sun by 2016.

Ratul Puri, Chairman of Moser Baer Projects Private Limited (MBPPL), said: “This investment by GE reflects the high quality of Project Development undertaken by Moser Baer Clean Energy Limited in both Indian and International Markets. With these projects, MBCEL expects to have an operating capacity of 100 MWp of Solar Plants by the end October, 2011.”

Lalit Jain, CEO of MBCEL’s Wind and International Solar business, said: “This project demonstrates how solar power technology can produce multiple benefits from a single site. We are doubling the productivity of the land by growing crops and generating electricity.”

For its part, GE sees its investment as part of its growth in renewable energy investing, which already includes nearly $1 billion of solar power equity and debt investments in 46 projects in six countries.

Chief Minister Narendra Modi to inaugurate Asia's largest solar farm being set up by Moser Baer Clean Energy at District Banaskantha on 14 October 2011

· The 30-MW, Rs.4650.000 Millions solar farm in Gujarat will be the first major project to be commissioned under the state’s Solar Mission

Ahmedabad, October 12, 2011: Moser Baer Clean Energy Limited (MBCEL), India’s largest solar developer has set up Asia’s largest solar farm in District Banaskantha, Gujarat and will be inaugurated by Hon’ble CM Shri Narendra Modi on 14th Oct 2011.The 30 MW solar farm has been set up using 2,36,000 Thin Film modules with an approximate investment of Rs.4650.000 Millions. The power will be evacuated through 2 separate 66 KV lines to Sub-Stations at Anganwada and Dunawada. This project awarded under phase 1 of Gujarat Solar Power policy 2009 will be the first major project commissioned under the Gujarat Solar Mission.

Praising the support of the Gujarat government, Ratul Puri, Chairman of Moser Baer Projects (MBPPL), the parent company of MBCEL said: “The state of Gujarat is seen as one of the best solar power generation destinations due to its progressive solar policies, stable political and economic conditions and more importantly abundant availability of the day light. We could not have completed this project in a record time without the support and guidance of the state government. Giving more details about the solar farm, Rajya W. Ghei, Country Head, MBCEL said: “We have used about 2,36,000 Thin Film modules including that of Moser Baer Solar is the only solar company in the world to be awarded a 5-star rating for quality by TÜV Rheinland for two years in a row. This solar farm will generate about 52 million Kwh which should provide electricity for 50000 homes everyday. Additionally it will save about 50000 tonnes of carbon emission annually making this farm a beacon for other developers to follow.” He concluded by saying: “We selected Thin Film solar PV modules as they are best suited climatic conditions in Gujarat and are known to generate more electricity than the assured levels.”
