OPERATION:

 

During the year, the company has recorded an income of Rs. 6843.265 Millions as compared to Rs. 2996.799 Millions in the previous year. The Profit before tax has increased to Rs. 3969.671 Millions for the year ended 31st March, 2010 as compared to Rs. 1792.345 Millions for the previous year. After deducting provision for taxation, the company earned a Net Profit of Rs. 3943.142 Millions for the year as compared to Rs. 1759.435 Millions in the previous year.

 

Barring unforeseen circumstances, The Directors are optimistic about better performance during the current year.

1. The borrower and the company shall at their expenses keep the said property in good conditions and shall keep it insured against fire, theft, lighting, explosion, earthquake, flood, riots , strike, erection risk, war risk an shall duly pay all the premiums and other sums payable for that purpose.

 

2. The borrower and the company shall not create any charge, mortgage, lien or any other encumbrances upon or over the property or any attachment or distress to affect the same by any part therof nor suffer any such charge, mortgage, lien or other encumbrances.

 

3. During the continuance of  this security so long as the borrower and the company shall use the said property, they will at their own expenses, maintain and keep the same in substantial order, repair and will, form time to time and replace all such parts as from decay, destruction or other causes.

 

4. In case of default, the Bank may seize, foreclose and even sell the said property without any prior written or oral consent/ concurrence of the borrower and the company for the realization of the amounts due to the Bank in accordance with the terms contained in the sanction letter.

  1. In respect of one of the project of company, a person (now represented by legal heirs) had filed a suit with a claim to reconstruct a structure admeasuring 10’ X 24’ on the property which the person claimed had been demolished by the company. The company believes that the aforesaid suit is not sustainable. The amount payable, if any, towards this claim is not ascertainable.

 

 

  1. A suit has been filed against the company in connection with alleged infringement of trademarks, seeking damages of Rs. 2.000 million. In view of the management, the claim is not maintainable; hence no provision is made for the same in the books of account. On November 27, 2009 an agreement has been entered into between the plaintiff and the company and the suit has been withdrawn vide order dated April 5, 2010 of the Hon’ble Delhi High Court.

 

  1. In respect of one of the project at Mumbai, held by a fellow subsidiary, a suit has been tiled against the company seeking possession of a portion of Land admeasuring 108 Square meters. Though the company has been made a party to the suit, the company believes that it is not liable since it is neither the owner nor the developer of the said property nor t has given any guarantees in respect of the same. The matter is pending before the Hon’ble High Court.

 

  1. In relation to one of the flats in residential projects of company a person has tiled a complaint before the Consumer Dispute Redressal Forum against the company for alleged failure to execute agreement for sale. The person has claimed execution of agreement of sale or in alternative to buy back of the flat for Rs. 14,000 per sq. ft., Rs.1.000 million interest on loans availed and Rs.1 million as special damages. There are disputes between the said person and another person regarding ownership of the said flat. In view of such disputes, the company believes that the claim in the aforesaid proceedings is not sustainable in law and therefore no provision has been made for the same.

 

  1. Capital Commitment in respect of Association of Person Rs. 400.000 millions (Previous Year Rupees Nil)

 

  1. Income Tax assessments of the company in respect of earlier years has been completed and tax liability of Rs. 7.800 million has been determined over and above the provisions made in the books of accounts. The Income Tax department has also issued the notice under section 274 of the Income Tax Act, 1961, in respect of the same. The company has tiled appeal against the said orders.

 

  1. In one of the residential projects, two persons have filed a complaint before the Consumer Redressal Forum against the Company for alleged deficiency in services of failure to handover possession of a flat. The complainants have demanded compensation of Rs.1.000 million. The Company believes that the aforesaid proceedings are prima facie not sustainable and hence no provision has been made.

 

  1. In one of the residential projects, one person has filed a complaint before the Consumer Redressal Forum against the Company for alleged deficiency in services of failure to handover possession of a flat. The complainant has demanded compensation of Rs. 0.500 million. The Company believes that the aforesaid proceedings are prima facie not sustainable and hence no provision has been made.

 

  1. In one of the residential projects of the Company, one person has issued a notice to the Company alleging delay in handing over possession of flat and seeking payment of Rs. 2.200 million as actual financial burden incurred by the complainant alongwith interest at the rate of 24% per annum.
