WASHINGTON, Sept. 28 -- Archer-Daniels-Midland Co.,
Decatur, Ill., files Form 8-K (current report) with Securities and Exchange
Commission on Sept. 27.

On September 26,
2011, Archer-Daniels-Midland Company ("ADM") issued $527,681,000
aggregate principal amount of 4.535% Debentures due 2042 (the "New
Debentures") in exchange for specified series of ADM's outstanding debt
securities, in connection with the expiration of the early participation period
for its previously announced exchange offers. The New Debentures were issued to
qualified institutional buyers ("QIBs") pursuant to Rule 144A under
the Securities Act of 1933, as amended (the "Securities Act"), and to
non-U.S. persons in reliance on Regulation S under the Securities Act.
The New Debentures
were issued under an indenture, dated as of September 20, 2006, between ADM and
The Bank of New York Mellon (as successor to JPMorgan Chase Bank, N.A.), as
trustee. The New Debentures will pay interest on March 26 and September 26 of
each year, beginning March 26, 2012, at a rate of 4.535% per annum. The New
Debentures are ADM's senior obligations and rank equally with all of its other
unsecured indebtedness. The New Debentures are subject to optional redemption
prior to maturity. The New Debentures issuable to QIBs in reliance on Rule 144A
under the Securities Act were issued in the form of registered global
securities in the form of debentures attached as Exhibit 4.1 hereto (the
"Rule 144 A Global Debenture"), and the New Debentures issuable to
non-U.S. persons pursuant to Regulation S under the Securities Act were issued
in the form of registered global securities in the form of debentures attached
as Exhibit 4.2 hereto (the "Regulation S Global Debenture"). The
description of the New Debentures contained herein is qualified by reference to
the form of Rule 144A Global Debenture and form of Regulation S Global
Debenture attached hereto.
On September 26,
2011, in connection with the issuance of the New Debentures, ADM entered into a
registration rights agreement (the "Registration Rights Agreement")
with the dealer managers for the exchange offers named therein. Under the
Registration Rights Agreement, ADM has agreed to file an exchange offer
registration statement with the Securities Exchange Commission (the
"SEC") to allow holders of the New Debentures to exchange such New
Debentures for an equal principal amount of debentures with substantially
identical terms, except that they will generally be freely transferable under
the Securities Act. In addition, ADM has agreed pursuant to the Registration
Rights Agreement, under certain circumstances, to file a shelf registration
statement with the SEC to cover resales of the New Debentures. If ADM fails to
satisfy these obligations, it will be required to pay additional interest as
liquidated damages to the holders of the New Debentures. The Registration
Rights Agreement is attached hereto as Exhibit 4.3, and the description of the
Registration Rights Agreement contained herein is qualified by reference
thereto.
The New Debentures
have not been registered under the Securities Act or any state securities laws.
Therefore, the New Debentures may not be offered or sold in the United States
absent registration or an applicable exemption from the registration
requirements of the Securities Act and any applicable state securities laws.

Not only the
military leadership, but also the political, is gearing itself up for national
defence. The threat is the USA, especially after Adm Mike Mullen, the US Joint
Chiefs Chairman, said that the Haqqani Network was controlled by the ISI.
The US blames the
network not just for attacking American troops, but also for the assassination
of ex-President Burhanuddin Rabbani. That Admiral Mullen did not speak on the
spur of the moment, but as the beginning of a campaign was shown by the
statement by prominent Republican Senator Lindsey Graham, who is also a member
of the Senate Armed Services Committee, that 'all options' were on the table
against Pakistan, a strange thing indeed to say of such a close ally.
Pakistan's Prime Minister Yousuf Raza Gilani spent Sunday reaching out to the
heads of other political parties, and they all agreed to take part in an
All-Parties Conference. This is in addition to the statement by Interior
Minister Rehman Malik, in the course of a press conference on capturing an arms
cache in Turnol, that Pakistan would give the USA a befitting reply if it came
to combat between the two. Also, Foreign Minister Hina Rabbani Khar, during an
interview to an American TV channel on her current visit to the USA to attend
the UN General Assembly session, has warned the USA not to test Pakistan's
patience, because otherwise the doors of cooperation could be shut. This is
consistent with the corps commanders who met, unusually on a Sunday, to say two
things: first, that the American allegations were wrong, and second, that the
armed forces would give the USA a befitting response if there was an attack.
However, the Army,
by expressing a commitment to lasting peace in the region, kept the door open
for a reconciliation leading to the continuing of a relationship that has long
grated on the Pakistani people ranging from the constant killing of Pakistani
citizens by drones, to the Raymond Davis affair. This should be considered an
opportunity to end an unpopular relationship. It is unfortunate that it took
Pakistan to the brink of war with it for it to end the US alliance, but if that
is the price that must be paid, then so be it.
However, the
political unity should not be limited to mere sloganeering. This is the time
when multipartisan delegations must go to friendly countries and build up
support for Pakistan at this crucial juncture. This is the time when the
country should make it clear that its traditional allies must also make the
stark choice that is now afforded Pakistan. This is perhaps not the time to go
into how the unreasoning political obedience of the USA by the nation's
political and military elite have led to this pass. So long as the national
interest is maintained, past mistakes can be overlooked.

Archer Daniels Midland has made two senior appointments within its South
American business.
Valmor Schaffer
has been appointed as president of ADM South America, while John Grossmann will
serve as vice president for its South American oilseeds division.
Schaffer will
coordinate growth activity across all ADM business lines in the region and
manage ADM's oilseed business in Brazil, the company said. Having joined ADM's
Brazilian grain origination operations in 1999, he served as ADM Paraguay, and
also as general manager of the ADM-SAO joint venture in Bolivia.
Grossmann who is
expected to lead ADM's South American oilseeds business excluding operations in
Brazil, will report to Schaffer. He has been with the company 13 years and most
recently served as president of ADM Paraguay.
"We believe
our South American origination, processing and export businesses, which are
vital to ADM's overall growth strategy, will benefit from the expertise and
experience of Valmor and John," ADM COO Juan Luciano said yesterday (13
September).
"With their
direction and extensive management backgrounds, ADM will continue to

Midland Company (ADM) announced the expansion of its global oilseed processing
capacity through the acquisition of two oilseeds processing facilities in India
from Geepee Agri Private Limited.
According to a
release, the facilities, located in the cities of Kota and Akola, process
rapeseed, soy and palm.
"This
acquisition advances ADM's strategy to expand the size and global reach of our
operations and increases our presence in the growing Indian market," said
Brent Fenton, president, ADM Europe. "ADM will integrate these operations
into our global supply chain, strengthening our oilseeds processing activities
in India and further enhancing ADM's leadership in global agricultural
processing."
ADM has also
established a new Indian headquarters office in Gurgaon, near New Delhi in the
northern state of Haryana. This office will oversee ADM's operations in India
and will manage sales, purchasing and administrative work in the country.
The company noted
that the new processing facilities complement the company's recent purchase of
the remaining interests in Tinna Oils, which is now owned by ADM. The Tinna
Oils acquisition includes a soybean and sunflower seed processing plant in
Latur, a soybean and sunseed processing plant in Dharwad and a port warehouse
in Visakhapatnam. Additionally, ADM purchased the soybean processing assets of
Madhur Agro located in Nagpur, earlier this year.
The facilities in
Akola and Nagpur, both in the western state of Maharashtra, include soybean
crushing, refining and packaging capabilities, enabling ADM to produce
vegetable oil and meal for food and animal feed markets. The two plants serve
the domestic market for packaged oils and the export market for soy meal.
Additionally, the site in Akola contains a palm oil refinery and warehouses for
raw and processed materials.
ADM reported that
the Kota site, located in the north-western state of Rajasthan, includes a soy
and rapeseed crushing, refining and packaging facility. This location gives ADM
access to the growing domestic Indian rape oil market as well as the rape meal
export market. The plant's soy processing capabilities enable ADM to supply soy
oil directly to the north Indian market.
"These new
assets support ADM's expansion of our oilseeds origination network in Central
Asia, which is a region of great interest to our business," said Kevin
Eikerman, managing director, ADM Oilseeds India. "The close proximity of
suppliers and customers, coupled with ADM's global reach and export

ADM has acquired

the state of Maharashtra, in the west of the country. The facilities, which process
rapeseed, soy and palm have been acquired from local firm Geepee Agri for an
undisclosed sum.
"This

Alongside the
acquisition, ADM has set up a new head office for its Indian operations. The
site is based in Guragon, near New Delhi.

facility in Dharwad in the state of Karnataka and a warehouse in Visakhapatnam,
