Performance Review:

 

Orders received during the year at Rs.63,496 million were 27% lower as compared to Rs.86,847 million in the previous year. Order backlog at the end of 2010 was at the same level of Rs.84,362 million compared to Rs.84,787 million at the end of the previous year.

 

Sales and other income for the year were marginally higher by 1% at Rs.63,726 million compared to Rs.63,098 million in the previous year. Revenues of all the segments were higher than the previous year except Power Products and Process Automation which saw a negative growth of 9% and 8% respectively.

 

Profit before tax for the year was lower at Rs.1,002 million as compared to Rs.5,274 million in the previous year, mainly on account of exit costs of rural electrification business, strategic orders with lower margin, higher input costs witnessed by the industry and adverse impact from fair valuation of forward foreign exchange and embedded derivative contracts.

 

Profit after tax at Rs.632 million for the year has reduced by 82% compared to Rs.3,546 million in the previous year. Earning per equity share of face value of Rs.2/- correspondingly decreased to Rs.2.98 compared to Rs16.74 in the previous year.

 

 

BOARD OF DIRECTORS:

 

Mr. Bernhard Jucker was appointed as an Alternate Director for Mr. Peter Leupp during the period from April 30, 2010 to July 29, 2010 when Mr. Leupp was a Director.

 

Mr. Biplab Majumder, Vice Chairman and Managing Director of the Company resigned and his resignation was accepted by the Board from the close of office hours on December 31, 2010.

 

The Directors place on record their appreciation of the valuable services rendered by the above Directors during their tenure as Alternate Director and Managing Director of the Company respectively.

 

Mr. Majumder was appointed as an Additional Director effective January 1, 2011. He holds office upto the date of this Annual General Meeting. He does not wish to seek reappointment.

 

Mr. Bazmi R. Husain was appointed as an Additional Director. He was also appointed as the Managing Director of the Company with effect from January 1, 2011, subject to approval of the share holders in general meeting.

 

Mr. Arun Kanti Dasgupta, Director of the Company is due to retire by rotation at this Annual General Meeting and is eligible for re-appointment.

 

Mr. Gary Steel was appointed as a Director of the Company with effect from February 20, 2009, in the casual vacancy caused by the resignation of Mr. Ravi Uppal. Since Mr. Ravi Uppal would have retired by rotation at this Annual General Meeting had he not resigned, Mr. Gary Steel would also cease to hold the office of Director at this Annual General Meeting, pursuant to Section 262 of the Companies Act, 1956 and is eligible for reappointment as a Director.

 

MANAGEMENT'S DISCUSSION AND ANALYSIS

 

OPERATING RESULTS OF THE COMPANY:

 

During the year 2010, the Company secured orders of Rs.63,496 million, compared to highest ever level of Rs.86,847 million in the previous year. Booking of certain high value orders in the previous year, competitive market environment, management’s decision to be selective based on credit and other risks for certain opportunities, de-logging of certain non-moving orders in non-core businesses upon foreclosure and delay in decisions by the customers accounted for lower order receipt during the year 2010. Company’s order backlog at the end of the year stood at Rs.84,362 million thereby providing significant revenue visibility for the coming year.

 

Revenues during the year were at Rs.63,726 million as compared to Rs.63,098 million in the previous year. Lower short-cycle orders, decision to exit from rural electrification business of power systems segment and longer execution schedule of large value project orders resulted in marginal growth of revenues during the year.

 

Profit before tax for the year was lower at Rs.1,002 million as compared to Rs.5,274 million in the previous year, mainly on account of exit costs of rural electrification business, strategic orders with lower margin, higher input costs witnessed by the industry and adverse impact from fair valuation of forward foreign exchange and embedded derivative contracts. During the year, management continued to pursue several cost optimisation measures which along with lower interest expenses partially helped in reducing the above impact. Net profit after tax stood at Rs.632 million.

 

During the year, the Company has successfully commissioned certain new manufacturing facilities, completed planned expansion projects and continued to expand its range of offerings along with introducing several new products. Investment in fixed assets during the year was Rs.1,044 million.

                  

OUTLOOK FOR THE COMPANY:

 

ABB Group demonstrated its higher engagement and confidence in the Indian market and its Indian operations by increasing its shareholding from 52.11% to 75% during the year. The Company expects the investment in power and other infrastructure sectors in India to continue. With growing robust domestic economy, comfortable order backlog position, potential for increase in exports, adequate manufacturing and engineering capabilities coupled with access to state-of-art global technologies, management is confident, barring unforseen circumstances, of sustainable profitable growth of the Company in coming years.

 

FINANCE:

 

Interest rates after remaining stable in initial part of the year have started rising in the later part of the year. Liquidity position of the Company was comfortable and the Company remained debt free. Company remained focused on its working capital management. Interest expenses during the year reduced to Rs.174 million compared to Rs.256 million in the previous year. Interest income from placement of temporary surplus funds as fixed deposits with the banks increased significantly on account of higher surplus fund and increase in interest rates to Rs.91 million as compared to Rs.11 million in the previous year. Net cash position (cash and bank balances less loan fund) at the end of the year was higher at Rs.5,871 million compared to Rs.5,241 million at the end of the previous year. The Company continued its policy to hedge all its foreign currency exposures for imports and exports to protect contract margins. As in the past, Company has maintained excellent relationship with major banks operating in India and was able to avail and negotiate favourable terms for various banking facilities.

General:

·         The Company was incorporated on 24.12.1949 as The Hindustan Electric Company Limited.

·         On 24.09.1965, the Company’s name was changed to Hindustan Brown Boveri Limited (HBB).

·         Pursuant to the Scheme of Amalgamation of Asea Limited with HBB with effect from 1st January 1989, the name was further changed to Asea Brown Boveri Limited, with effect from 13.10.1989.

·         Effective 16.04.2003, the name was further changed to ABB Limited.

 

Flakt India Limited was amalgamated with ABB with effect from 5th October 1995.

 

 

During 1994-95, a joint venture Company - ‘ABB Daimler-Benz Transportation AG’ (Adtranz) was established by ABB Zurich and Daimler-Benz AG, Germany, in Germany. A subsidiary of Adtranz was incorporated in India viz. ’ABB Daimler-Benz Transportation Limited which took over the Transportation Business of the Company effective 1st January 1996.

 

ABB’s power generation business was globally transferred into the new 50-50 JV with Alstom in 1999. In India the power generation business has been demerged and transferred to ABB Alstom Power India Ltd. with effect from 1st April 1999. In consideration of the transfer of the power business, each shareholder of ABB has been allotted one share in ABB Alstom Power India Ltd. for every share held in the company.

 

Capital:

The Authorised Share Capital of the Company is Rs.500.000 Millions divided into 212,500,000 Equity Shares of Rs.2/- each and 750,000 – 11% Redeemable 10 years, Cumulative Preference Shares of Rs.100/- each.

ABB commissions 765 kV substations in India

 

Bangalore, India, April 19, 2012 - Substations to link generation hubs to load centers in Western and Central parts of the country

ABB, the leading power and automation technology group, has recently commissioned three 765 kV substations for Powergrid Corporation of India Limited (PGCIL). The substations are located in Wardha,Seoni and Bilaspur in the Indian states of Maharashtra, Madhya Pradesh and Chhattisgarh, respectively.

 

The projects form part of PGCIL’s plans for building a strong national grid by 2012. From the current inter-regional power flow capacity of 27950 MW, the utility aims to take the capacity up to, 80000 MW through four main regional transmission grids. An extensive 800 kV extra high voltage (EHV) network will form the backbone of this network.

 

ABB executed the project on a turnkey basis with end-to-end power equipment supply and project management. The overall project scope comprised the design, engineering, manufacturing, testing, erection and commissioning of the 765 kV and 400 kV switchyards, including civil works.

 

“ABB has partnered with PGCIL to play an important role in establishing the 765 kV network in India. ABB’s EHV equipment is based on cutting-edge technologies to provide maximum system reliability. We are presently executing several more 765 kV substation projects in India and are pleased to continue supporting the development of the country’s power infrastructure,” said N Venu, head of the Power Systems division for ABB in India.

 

The three substations will enable more power to reach consumers, help meet increasing electricity demand and support the growing economy of the region. They will also strengthen the transmission and distribution network and improve efficiency and reliability of power supply.

ABB to invest Rs.2500.000 Millions to expand power products manufacturing base in India

 

Bangalore, India, April 16, 2012 - Investment to enable local production of gas insulated switchgear and dry-type transformers

 

ABB, the leading power and automation technology group, will invest around Rs. 2500.000 millions to build new facilities in India to manufacture high-voltage power products and transformers. The expansion is part of ABB’s strategy to develop, manufacture and market products that meet the needs of Indian customers, as well as serving as an export hub.

 

"The new manufacturing units will further strengthen our local footprint and enhance our product portfolio. They will enable us to serve our customers better as we continue to support the development of the country's power infrastructure" said Pitamber Shivnani, Local Division Manager, Power Products in India.

 

The facilities will be located in Savli near Vadodara, Gujarat and produce high-voltage gas-insulated switchgear (GIS) and PASS (plug and switch system) hybrid switchgear as well as dry-type and oil immersed distribution transformers. The facilities are expected to be operational by the end of 2012.

 

A pioneer in GIS technology, ABB`s latest series can offer space savings of up to 90 percent compared to conventional air-insulated switchgear. Its low-weight, robust design enables the equipment to be deployed even in harsh conditions and enhances system reliability, efficiency and minimizes maintenance needs.

 

ABB’s plug and switch system (PASS) is a hybrid switchgear solution that combines features of air- and gas-insulated technologies. It incorporates the functions of a complete switchgear bay in a single module, and can be installed in a few hours. ABB wins Rs.750.000 Millions order in India to power metro for pink city

 

Bangalore, India, April 12, 2012 - Substations, electrification and SCADA system to facilitate reliable and efficient power supply

ABB, the leading power and automation technology group, has won an order worth Rs.750.000 Millions from Delhi Metro Rail Corporation Limited (DMRC) to provide power solutions for a planned metro rail network for Jaipur, also known as the ‘pink city’ and the capital of Rajasthan, a state in northern India. The order was booked in the first quarter.

 

The Jaipur Mass Rapid Transport System (MRTS) is being promoted as an eco-friendly project deploying state-of-the-art technologies and is expected to carry approximately 11,000 commuters per hour on each rail corridor when fully operational, reducing road traffic bottlenecks and lowering carbon emissions from cars.

The turnkey project includes design, supply, installation and commissioning of essential power infrastructure for stage 1 of the East-West Corridor of the Jaipur Mass Rapid Transport System (MRTS). This section will serve eight passenger stations. ABB will supply 11 auxiliary substations with a rating of 33kV/415V (kilovolt).

 

The project scope includes electrification of overhead lines, provision of auxiliary substations and the supply of a SCADA (Supervisory Control and Data Acquisition) solution, which enables the monitoring and control of field equipment and key components of the power distribution system. This facilitates smooth operations and enables proactive measures to avoid service interruptions, thereby enhancing performance and optimizing cost-efficiency. ABB will also deliver key products including the switchgear, dry type transformers and distribution equipment.
