Financial Performance:

 

The Company surpassed the milestone of Rs.10000 millions turnover, registering an impressive growth of 36% over the previous year. The Profit after Tax has increased by 39% from Rs.1620 millions for the year 2009-10 to Rs.2250 millions for the year 2010-11.

 

The return on average capital employed was around 24% signifying judicious investments in infrastructure, control over costs and well managed pricing strategies. Fixed assets turn over ratio improved from 1.55 for the previous year to 1.81 times indicating better utilization of assets.

 

Finance :

 

The Company continued to have a healthy cash flow. The net worth of the Company as on March 31, 2011 is now Rs.9150 Millions as compared to Rs.7800 Millions as on March 31, 2010. The Company does not have any secured loans as on March 31, 2011. The Company has not accepted any fixed deposits from the public. For the year 2010-11, long term rating of the Company has been retained at LAAA by ICRA. This is a result of the financial soundness of the Company. Low debt equity ratio will enable the Company to raise debt finance for ambitious expansion plans to realize the valuable potential of new areas for which the PNGRB has granted authorization to the Company.

Operations and Business Performance :

 

Mumbai is a densely populated and congested city. Building infrastructure in the city has always been a challenge for the Company. Further more, as compared to other utilities whose infrastructure is mostly already laid in the limited corridors available, City Gas Distribution has the "last move in" disadvantage in Mumbai. This involves laying extensive new infrastructure in narrow corridors already overcrowded by other utilities. The Company has successfully continued scaling up of the infrastructure during the year  in its existing areas of Mumbai, Thane, Mira-Bhayander and Navi Mumbai. The Company is setting up distribution infrastructure in the expansion areas of Kalyan-Dombivali, Ambernath, Ulhasnagar and Taloja in its authorized geographical areas. Growth has been maintained despite encountering complexities due to development of other infrastructure by various authorities like construction of flyovers, metro and monorail, subways, and other problems like edge to edge concretization of roads, expansion and re-development of roads with availability of limited corridor, limited construction season of only six months for building the infrastructure due to monsoons and delay in statutory permissions from local authorities to build City Gas Distribution infrastructure. Growth achieved by the Company . In June 2011, the number of household consumers have reached to 5.20 lakhs and CNG vehicles to 2.20 Lakhs approximately. There are now 149 CNG outlets. Continuous additions to the number of domestic connections and vehicles converted to CNG have ensured that the Company retains its position as the largest City Gas Distribution Company in India in terms of consumer base. The average gas sales volume of the Company during the financial year 2010-11 has increased to 1,755,313 SCM per day representing a growth of about 6% over the previous year. The highest daily volume has reached a peak of 2,078,447 SCM per day during the year. During the year 2010-11, the Company made substantial investments in network expansion in its existing areas of operations and laying, building and developing CGD infrastructure in its authorized expansion areas. The projects undertaken during the year have progressed well. During the year, apart from domestic connections, the Company has also made progress in increasing gas supply to Commercial and Industrial consumers. The peak daily sale of CNG exceeded 11,02,400 Kgs per day during the year, registering a growth of more than 6.5% over the peak daily demand in the previous year. The growth in demand for CNG is expected to continue and the Company is preparing to seize this opportunity by significantly investing further in the CNG infrastructure in the city of Mumbai and expansion areas during 2011-12.

 

Some of the important events / achievements during the year were :

 

(i) Day to day efficient gas sourcing, supply management, fund management and operations carried out by the Company led to reduction in overall costs and achievement of better profitability in spite of higher RLNG prices prevailing in the market.

 

ii) The Company has received highly commendable BG Group Chairman's award 2010 in the category of HSSE Effectiveness for vehicle tracking system.

 

(iii) The Company commissioned the PE line laid along with Steel in Navi Mumbai in April 2010 and 1st Domestic conversion done at Koparkhairne, Navi Mumbai.

 

(iv) The Company on July 06, 2010 commissioned 2nd City Gate Station (CGS) at Mahape. This CGS provides the Company direct connectivity with GAIL’s Dahej-Uran gas transmission pipeline (DUPL) and the National Gas Transmission System significantly enhancing security of its gas supplies.

 

(v) The new corporate website www.mahanagargas.com was launched by Chairman, MGL, in the month of August 2010.

 

(vi) The Company was accredited with LAAA rating in September 2010, the highest possible rating for Debt instrument by ICRA.

 

(vii) The Company achieved the milestone of 2.0 MMSCMD Gas throughputs on 31st December, 2010. The Company was recertified with OHSAS 18001:2007 and ISO 9001:2008.

 

(viii) The sponsorship of Natural Gas Vehicle (NGV) exhibition and Eco drive (Mumbai-Pune rally of CNG cars) provided a platform to MGL to communicate the present status of CNG availability and expansion plans, amongst various stakeholders such as vehicle OEMs, kit retrofitters, fleet owners and other CNG equipment manufacturers apart from general public. The Eco drive helped to demonstrate availability of wide range of CNG vehicles and possibility of CNG corridor between Mumbai and Pune, which is one of the busiest routes in India. Overall, these events brought in the momentum in CNG conversions in passenger car segment.

 

Development in Gas Supply Scenario :

 

The Company persuaded the Government of India (GOI) to increase its APM gas allocation for its priority segments (transport and domestic PNG) from 1.15 MMSCMD and 1.40 MMSCMD at 10.02 MMSCMD and 10.27 MMSCMD ex-Uran availability respectively to 2.0 MMSCMD on a firm no-cut basis. This firm allocation on a no-cut basis would significantly enhance the security of gas supply of the Company and would anchor growth in the domestic PNG and CNG segments for the next few years.

 

Development in Gas Pricing :

 

Government of India vide its letter dated November 24, 2010 increased the Non APM gas price for City Gas Distribution entities for Industrial and Commercial segment from US$ 4.75/MMBTU to US$ 5.25/MMBTU (NCV basis) with effect from July 01, 2010. Also, Spot RLNG prices increased substantially during the assessment year from about US$ 6/MMBTU to US$ 14/MMBTU. The company successfully maintained its absolute margins in the face of these increased gas costs by putting in place and implementing a comprehensive gas selling pricing policy.

 

Future Outlook :

 

In the next 5 years, MGL's sales volumes are expected to be more than double. The Company has ambitious expansion plans which inter alia include commissioning of 2 more city gate stations at Ambernath and Taloja shortly and interconnectivity of CGS at Wadala with DUPL network for security of supply. In the next five years, the Company has plans to increase its customers' base to over 10 lakh households covering a population of over 50 lakhs, operate over 340 CNG stations, expand the steel pipeline network to around 600 KM and PE pipeline network over 5500 KM. As regards investment for expanding its CGD infrastructure, the Company has plans for additional investment of Rs.25000 to Rs.30000 Millions in the next five years.

 

Health, Safety, Security and Environment (HSS and E) :

 

The Company is in the business of supplying piped and compressed Natural Gas that is environment friendly and safe. To facilitate this, the Company lays pipelines in the city of Mumbai and surrounding towns in Maharashtra as they strive to expand their business. Whilst doing this, the Company adheres to high safety and environmental standards as they believe that `Outstanding Business Performance requires Outstanding HSS and E Performance'. The Company complies with all legal and statutory requirements applicable to its operations as a minimum standard and aspires to attain recognised world class performance. The Strategic Management Group of the Company has produced and signed onto the MGL HSS and E Spirit Statement and Leadership Charter that details the commitment of the Senior Management of the Company to Health, Safety Security and Environment. In recognition of their efforts, the Company has received a prestigious BG Group Chairman's award for the year 2011 in the HSS and E Effectiveness category for the initiative they have undertaken on improving the behaviour of their vehicle drivers. In July 2010, the Company was audited for OHSAS 18001:2007 Certification from Dett Norske Veritas (DNV), a world renowned accreditation body. DNV were satisfied with their level of compliance to the standard with respect to HSS and E implementation. In Sept 2010, DNV also carried out an ISO 14001 audit for Environmental management System and confirmed a high level of compliance. The Company is committed to the health and safety of all its employees, the employees of the contractors and other people who may be affected by the Company's operations. The Company considers its contractors as business partners and expects them to adhere to the Company's HSS and E standards. The Company provides HSS and E training to its contractors' employees to perform their jobs safely. Regular site inspections for supporting site personnel to achieve high performance in safety and asset integrity are undertaken at worksites. The Company has identified and reviewed the high risk activities they undertake and developed a comprehensive system called "Lifesavers". This year, they added two more activities of Electrical and CNG operations to their Lifesavers. Compliance with Lifesavers is monitored for both quantitative and qualitative aspects and their performance is measured and monitored each month by the Company’s HSS and E Steering Committee. In their drive for continuous improvement in safety, the Company expects all employees and contractors to report near miss and hazards. All the reports are investigated and the lessons learnt are shared with all concerned. The Company also takes cognisance of the lessons learnt from other CGD companies across the world. The Company ensures that all personnel who are required to undertake work on the gas supply network are competent in both safety and technical aspects - Safety and Technical Competence (STC). The Company enforces "No STC training No Work" policy for all its operations. The Company has developed comprehensive Emergency Response Plans and Business Continuity Plan for handling any emergency incident and major crisis. The Company is also an active member of the local Mutual Aid Response Group together with other neighboring industries. The Company has contracted the services of a high caliber Provider of medical emergency response to respond to any emergency at their sites or at an employee's home. The company has installed a "Vehicle Tracking System (VTS)" on the operational vehicles used by the Company undertaking such duties as Emergency Response, delivery of CNG, etc. The system is on line and operates on GPS system. This system is available twenty four hours a day and facilitates tracking the location of the vehicles and keeping check for speed violations, harsh breaking and the journey taken

ii) Disputed demand for service tax relating to secondment charges Rs. 34.644 Millions (previous year Rs. 25.588 Millions) and input credit of service tax on pipeline laying services Rs.27.730 Millions (previous year Rs. Nil)

 

iii) Disputed demand for income tax on account of certain disallowances Rs. 3.298 Millions (previous year Rs. 9.609 Millions).

 

iv) Property tax disputed by the Company relating to issue of applicability of rateable value Rs. 1.008 Millions (previous year Rs. 4.816 Millions).

 

v) Estimate of incremental transportation charges payable on supply of natural gas for the period from 1st November, 2003 to 31st March, 2007 aggregating Rs.
