The Bank of Cyprus Public Company Limited
was founded in 1899 and is the holding company of the Bank of Cyprus
Group. The Bank is the leading financial services organisation in
Cyprus, with a dynamic presence in Greece and Russia and operations
in the United Kingdom, Australia, Romania and Ukraine. The Bank
operates 143 branches in Cyprus.
The subject is the largest commercial bank in Cyprus. It offers a
comprehensive range of banking and other financial services to the
retail and the corporate sector, the government, public institutions,
etc. The Bank has 143 service outlets throughout Cyprus and maintains
a correspondent relationship with more than 2 300 banks including
most of the major international banking institutions. As regards its
operations abroad, Bank of Cyprus has been operating in Greece since
1991, when its first branch was established. Gradually, the Bank
spread throughout most of the country where it now provides a wide
range of banking services through its 140 branches. Furthermore, it operates
Representative Offices in Canada, South Africa and Russia. In 1955,
the Bank established its first branch in London which now operates
five branches. In 1997 the Bank expanded its operations in Romania
and now operates four branches.
The Group offers a wide range of financial products and services,
which include banking services in Cyprus, Greece, United Kingdom,
Australia, Romania, Russia, Ukraine and Channel Islands, finance,
leasing, factoring, brokerage, fund management, investment banking,
general and life insurance services in Cyprus and Greece.
In Greece the Bank has been operating in Greece since 1991. The
dynamic expansion of the Bank's Greek operations started in 1999. In
UK the Bank of Cyprus has been operating for more than 50 years and
during that time it has established itself as a refreshing
alternative to the mainstream clearing banks. The Group's
international activities were further enhanced in 2000 with the
operation of a wholly owned subsidiary bank in Australia. In March
2007, the Bank expanded its operations in Romania with the provision
of leasing services. In August 2007, the Bank expanded its operations
in Russia and is the first Greek or Cypriot banking institution to
enter the Russian market. In October 2008, the Bank successfully
completed the acquisition of an 80% interest in Uniastrum Bank in
Russia. Founded in 1994 and headquartered in Moscow Uniastrum Bank
has the 9th largest distribution network in Russia, consisting of
over 210 outlets. In May 2008, the Bank acquired 97.2% of the share
capital of the Ukrainian bank AvtoZAZBank and provides banking
services in Ukraine.
The Bank operates 143 branches in Cyprus.

COUNTRY DEVELOPMENTS:
On 13 June 2012, Moody’s Investor
Service once again downgraded Cyprus’s government bond ratings by two
notches to Ba3 from Ba1 and research is now being carried out for
further possible downgrade. The Cypriot banks’ exposure to Greece
totals 29 billion Euros, or 160% of GDP, including both Greek
government bonds and loans to Greek residents. As a result, it is
expected that an increase of support by the government may have to be
offered to the Cypriot banks due to their exposure to the Greek
government and economy and Moody’s will be reflecting these in the
Cypriot sovereign ratings.
On 25 June 2012 Financial Mirror
published that, Cyprus has applied for the European bailout fund due to
its need of 1.8 billion Euros to recapitalize its second largest
lender, Cyprus Popular Bank. Stefanos Stefanou, a government spokesman,
said that negotiations are yet to be made to determine the precise
amount of money which will be lent to Cyprus. He also noted that
despite the aid request from the EU, the Cypriot government will
continue seeking for a loan from a country outside the EU, such as
China and Russia, needed to help cover its budget deficit (2011
deficit: 6.3% of GDP, one of the highest in the Eurozone).
The country has already borrowed
2.5bn euros from Russia, whose business people are important customers
of Cyprus's relatively large offshore financial sector which offers low
tax rates. If Russia accepts to supply another loan with a low interest
rate then Cyprus may be more willing to borrow the money to cover their
refinancing needs from Russia instead of the EU.On 25 June 2012 Fitch
announced a downgrade of Cyprus’s rating by one notch from BBB- to BB+;
a decision due to Cyprus’s heavy exposure to the Greek economy.
Cyprus is keen to protect its low 10%
corporate taxation rate which makes it an attractive base for foreign
companies. The government is reluctant to acquire loans from the EU due
to fear of further austerity measures placed, which may obstruct
corporations from situating themselves in Cyprus. (End of Country

RECAPITALISATION OF THE CYPRUS
POPULAR BANK PUBLIC CO LTD AND BANK OF CYPRUS PUBLIC CO LTD. "In
the context of the European Banking Authority (EBA) exercise to bring
the core tier 1 capital ratio to 9% by 30 June 2012, both Cyprus
Popular Bank Public Co. Ltd. and Bank of Cyprus Public Co. Ltd.
announced a capital raising plan in March 2012 and November 2011
respectively. Two of the main components of that plan were a
liability management exercise and a rights issue. Taking notice of
the amount of shares subscribed by private investors and in line with
the Decision of the Council of Ministers of 17 May 2012 for the
underwriting of the rights issue of capital of an amount of one
billion and eight hundred million euro (€1.800.000.000) by Cyprus
Popular Bank, the Government acquired EUR one billion seven hundred
and ninety six million nine hundred and eighty six thousand four
hundred and thirty nine (€ 1.796.986.439) of shares in the bank. The
capital strengthening plan of Bank of Cyprus resulted in an increase
of share capital by EUR 592 million. The Government of Cyprus remains
firmly committed to ensure the stability of the financial sector and
will work in close cooperation with the European Commission (EC),
European Central Bank (ECB) and International Monetary Fund (IMF) in
the framework of an international assistance programme. Banks'
capital needs will be assessed after a thorough examination of their
assets and in respect of EU state aid rules. The commitment of the
Government of Cyprus, as backed by European Commission, European
Central Bank and International Monetary Fund under the assistance
programme, is to support banks' compliance with the regulatory
framework."

BANK OF Cyprus UK is informing some
50,000 British savers that it is restructuring its business to bring
their accounts under the wing of the British depositor protection
scheme.In an announcement posted on its website, the Bank of Cyprus
(BoC) said its proposal to transfer its UK banking business to a UK
subsidiary has been agreed in principle by the UK's Financial
Services Authority."We propose to transfer the banking business
currently carried out by Bank of Cyprus Public Company Limited
through its UK branch to Bank of Cyprus Advances Limited, which is a
wholly-owned subsidiary of Bank of Cyprus Public Company Limited.
This subsidiary will be renamed Bank of Cyprus UK Limited," the
bank said.The transfer of business to Bank of Cyprus UK is expected
to take effect by mid-July.The tumbling value of the euro is
threatening the likely compensation level for more than 1.5 million
savers who, often unknowingly, invest with banks covered by European
rather than UK deposit protection schemes.Continental schemes set the
maximum level of protection in euros, even for British
depositors.Bank of Cyprus UK Limited will be regulated by the
Financial Services Authority and all eligible deposits in all
currencies will be protected by the UK Financial Services
Compensation Scheme (FSCS) up to £85,000 per customer.Until the
transfer takes place, customer deposits continue to be protected by
the Cypriot Deposit Protection Scheme up to €100,000 per customer (or
sterling equivalent)."On the transfer date, Bank of Cyprus UK
Limited will automatically assume almost all aspects of the Bank of
Cyprus UK branch’s banking business, including all assets,
liabilities, contractual rights, obligations, guarantees and security
arrangements, save for certain staff pension obligations and a small
number of loans where we have informed customers individually,"
the BoC said."In a challenging international financial climate,
we believe that the transfer of our banking business best serves the
interests of our customers, employees, business partners and other
stakeholders."Upon transfer, the bank said, all customer
accounts would become accounts of Bank of Cyprus UK Limited without
the need for new mandates: "Bank of Cyprus UK Limited will
automatically assume all customer agreements, transactions and
security arrangements, including customers’ standing order and direct
debit instructions."Customers will still be able to use their
existing cheque books, debit cards and other documentation. Existing
credit facilities and other agreements you entered into with us
before the transfer will remain in force and be governed by the same
terms and conditions."Bank of Cyprus’ move will leave just two
mainstream banks operating in Britain not covered by the UK
compensation scheme – Triodos, the ethical bank, and ING.

SECURITIES Bank of Cyprus Public Company Ltd (“the Bank”) announces
that from Thursday, 19 April 2012, 895.612.909 new ordinary shares
(“New Shares”) of the Bank will commence trading on the Cyprus Stock
Exchange and the Athens Exchange. The New Shares of nominal value
€1,00 each, have resulted from the share capital increase through a
rights issue and the voluntary conversion of Convertible Enhanced
Capital Securities (“CECS”). The New Shares will be credited to the
Securities Accounts of the shareholders on the Central
Depository/Registry of the Cyprus Stock Exchange and the
Dematerialised Securities System (DSS) of the Athens Central
Depository before the date of commencement of trading of the New
Shares. Including the New Shares which will commence trading on 19

each. In addition, from Thursday 19 April 2012, the number of CECS
