japan ECONOMIC OVERVIEW
In the years
following World War II, government-industry cooperation, a strong work ethic,
mastery of high technology, and a comparatively small defense allocation (1% of
GDP) helped Japan develop a technologically advanced economy. Two notable
characteristics of the post-war economy were the close interlocking structures
of manufacturers, suppliers, and distributors, known as keiretsu, and the
guarantee of lifetime employment for a substantial portion of the urban labor
force. Both features are now eroding under the dual pressures of global
competition and domestic demographic change. Japan's industrial sector is
heavily dependent on imported raw materials and fuels. A small agricultural
sector is highly subsidized and protected, with crop yields among the highest
in the world. While self-sufficient in rice production, Japan imports about 60%
of its food on a caloric basis. For three decades, overall real economic growth
had been spectacular - a 10% average in the 1960s, a 5% average in the 1970s,
and a 4% average in the 1980s. Growth slowed markedly in the 1990s, averaging
just 1.7%, largely because of the after effects of inefficient investment and
an asset price bubble in the late 1980s that required a protracted period of
time for firms to reduce excess debt, capital, and labor. Modest economic
growth continued after 2000, but the economy has fallen into recession three
times since 2008. A sharp downturn in business investment and global demand for
Japan's exports in late 2008 pushed Japan into recession. Government stimulus
spending helped the economy recover in late 2009 and 2010, but the economy
contracted again in 2011 as the massive 9.0 magnitude earthquake and the
ensuing tsunami in March disrupted manufacturing. The economy has largely
recovered in the two years since the disaster, but reconstruction in the Tohoku
region has been uneven. Newly-elected Prime Minister Shinzo ABE has declared
the economy his government's top priority; he has pledged to reconsider his
predecessor's plan to permanently close nuclear power plants and is pursuing an
economic revitalization agenda of fiscal stimulus and regulatory reform and has
said he will press the Bank of Japan to loosen monetary policy. Measured on a
purchasing power parity (PPP) basis that adjusts for price differences, Japan
in 2012 stood as the fourth-largest economy in the world after second-place
China, which surpassed Japan in 2001, and third-place India, which edged out
Japan in 2012. The new government will continue a longstanding debate on
restructuring the economy and reining in Japan's huge government debt, which
exceeds 200% of GDP. Persistent deflation, reliance on exports to drive growth,
and an aging and shrinking population are other major long-term challenges for
the economy.

Strengths
Increasing Cash Reserves
Marubeni reported an increase in its cash reserves
in 2012-2013. Improving cash reserves strengthened the group’s short-term
financial obligations. In fiscal year ended March 2013, the group reported
30.9% increase in cash and equivalents to JPY951 billion from JPY727.3 billion
in 2012. The increase in cash reserves was due to 71.3% increase in cash inflow
from operating activities. In 2013, the group’s cash inflow from operating
activities increased to JPY295.7 billion from JPY172.6 billion in 2012. The
increase in cash reserves improved the group’s total current assets. In
fiscal year ended March 2013, the group’s total current assets increased

Products, Chemicals, Energy, Metals and Mineral Resources, Transportation
Machinery, Power Projects & Infrastructure, Plant & Industrial
Machinery, and FT, LT & IT business. In Food segment, the group
manufactures and distributes a variety of foods such as fodder, grain, raw
materials, soy beans, processed food and beverages, foodstuffs for commercial
use, and agricultural and marine products. It provides a wide range of products
in the Lifestyle segment, including clothing, sporting goods, footwear, sundry
goods, fitness machines and tires. In Forest Products segment, Marubeni
produces and distributes raw materials for paper production, paper and
cardboard. The Chemicals segment manages a variety of goods, such as
petrochemicals, electronic materials and agrochemicals. The group focuses on
products related to energy such as oil and gas. In Metals and Mineral Resources
segment, it produces, processes, and sells nonferrous light metals and steel
products. In Transportation Machinery, the group specializes in domestic and

machinery. The group also operates various financial businesses such as fund
management, leasing and financial product trading in both domestic and
international markets. It also operates an insurance brokerage business and

Weaknesses
Increasing Costs
Marubeni reported an increase in its total
operating costs and direct operating costs in 2013. Increasing costs coupled
with a decline in operating performance could affect the group’s operating
position. In fiscal year ended March 2013, the group’s operating income
declined 30% to JPY103.5 billion from JPY147.5 billion in 2012. The decline in
operating income was due to higher operating costs coupled with declining
trading volume. For fiscal year ended March 2013, the group reported 14%
increase in direct operating costs to JPY4,390.3 billion from JPY3,848.9
billion in 2012. Increase in direct operating costs affected its gross profit,
which declined 2.4% to JPY528.2 billion from JPY541.4 billion in 2012. Its
total operating expenses increased 12.1% to JPY 4757.7 billion, from 4,242.8
billion in 2012. In fiscal year ended March 2013, the group reported 0.7%
decline in its trading figures to JPY 10,509 billion from JPY10,584.4 billion
in 2012. The decline in trading volume was due to decrease in transaction
volumes for energy and chemical plant projects and a fall in the volume of
ship-related transactions. In fiscal year ended March 2013, the group’s total
operating costs as a percentage of sales increased to 98% from 96% in 2012. Its
gross margin and operating margin declined to 10.9% and 2.1% from 12.3% and
3.4% respectively in 2012.
Opportunities
Increasing Gas Trading in TTF
Marubeni’s gas trading activities could be strengthened
with the increase in gas trading volume at Title Transfer Facility (TTF). TTF
of the Netherlands and National Balancing Point (NBP) of UK are the two largest
gas trading hubs in Europe. According to petroleum review by Energy Institute,
the UK, more than 14 times the gas consumption in the Netherlands is being
traded through TTF, making it the largest trading hub in Europe, overtaking
NBP. The TTF accounted for 32% of total gas volumes in Europe in 2012, up from
28% in 2011, according to London Energy Brokers’ Association. The growth came
at the expense of the UK’s NBP, which shrank to 56% from 61% in 2011. A total
volume of 44 TWh was traded and cleared on TTF in May 2013, as compared to 41.6
TWh in May 2012. The TTF Gas spot market recorded a total of 775 GWh traded, of
which 710 GWh was traded on the Day-Ahead market and 65 GWh on the Within-day
market. The gas price on the Dutch wholesale platform became an important
reference for the prices in European market.
E& P Activities in UK continental Shelf (UKCS)
The exploration and production activities in North
West Europe increased over the year. In 2012, 65 exploration and appraisal
(E&A) wells were drilled on the UKCS, marking a 33% increase over previous
year’s total of 49. The increase in E&P activities was due to a series of
tax breaks introduced by the UK government. Last year also reported a surge in
deal activity (where oil and gas fields were bought and sold). Across North
West Europe, 129 deals were announced, 80 of which took place in the UK. This
is equal to a 30% increase on the UK’s 2011 figure. These were split almost
equally between farm-ins – companies taking a stake in another company’s
field – and deals to purchase oil and gas fields, at 40% and 43%
respectively. This compares to 64% of all deals in 2011 being farm-ins and
deals to purchase fields representing only 14%. The fact that companies are buying
more fields outright is another indicator of rising investor confidence.
Interest in field development also reached a 10-year high. The Department of
Energy and Climate Change (DECC) granted 21 field development approvals, and
eight incremental projects – investment in older fields for redevelopment –
were sanctioned. Last year was also the fourth consecutive year in which steady
growth in field development approvals was reported. Such extensive activities
in UKCS could enable the group to strengthen its oil and gas upstream resource
development activities.

Threats
Intense Competition
Marubeni operates in the highly competitive
international markets that include food products, food materials, energy,
environment, finance, logistics, IT, real estate development, mining, natural
resources, forest products, chemicals, lifestyle, transportation machinery,
power projects, infrastructure development, and plant and industrial machinery.
It competes with ITOCHU Corporation, Sumitomo Corporation, Mitsui & Co.,
Ltd., Toyota Tsusho Corporation, and Kamei Corporation. Some of these
competitors have better financial and technical resources. Inability to compete
successfully could have a significant impact on the group’s performance.
Volatility in Oil & Natural Gas Prices
The group’s revenue, profitability, and rate of
growth are substantially dependent on prices of oil and natural gas. In recent
years, increase in the demand for crude oil and depletion in the oil reserves
resulted in increase in the prices of crude oil and oil products across the
world. Oil prices and markets have been extremely volatile in the recent years.
Prices are affected by numerous factors such as market supply and demand,
political and economic conditions, and the ability of the Organization of
Petroleum Exporting Countries (OPEC) to set and maintain production and price
targets. The Brent spot freight on board (FOB) price showed a 58% decrease from
$93.67/bbl in 2007 to $39.34/bbl in 2008. This decrease in price affected the
company’s financial performance in 2008. In 2011, the prices of both Brent
and WTI increased substantially over that in 2010. Brent averaged at $111/bbl
and WTI averaged at $95 /bbl in 2011. Prices fluctuated rapidly between 2007
and 2011. Moreover, the price of WTI showed fluctuation in 2012, from
approximately $108/bbl in February 2012 to approximately $83/bbl in July 2012.
Similarly, Brent was at $120/bbl in February 2012 and then declined to
approximately $90/bbl in July 2012. According to the US EIA, the price of WTI
is expected to fluctuate between a lower limit of $80/bbl to a higher limit of
$110/bbl in 2013 to a lower limit of $40/bbl and a higher limit of $180/bbl in
2014. Such volatility in oil and gas prices could adversely affect the group's
results of operations, financial condition, and growth.
Stringent Regulations
Marubeni is subject to numerous local, state,
national and foreign laws and regulations governing various industries. These
regulations govern various issues including establishment of manufacturing
facilities, drilling of oil and gas wells, procurement of raw materials,
procurement of fuels, labor relations, employee safety, FDIs, carbon emissions,
launch of new products, entry into new markets, agreements, commercial
contracts, exploration of mineral resources, and infrastructure development. It
is subject to various environmental regulations governing air emissions,
wastewater discharges and the handling, storage disposal and release of wastes
and hazardous substances. Such stringent regulations could subject the group to
unprecedented liabilities and expenses. Moreover, increasing compliance costs
could affect the operating margins of the group.

Marubeni Corp
announced that it has affirmed the financial guidance for net profit attributed
to shareholders of JPY 210 billion for the fiscal year ending March 2014.
According to I/B/E/S Estimates, analysts on average were expecting the Company
to report full-year revenue of JPY 13,493.84 billion and net income of JPY
215.85 billion for the fiscal year ending March 2014.
Marubeni Corp to
Grow Cogeneration Business with Solvay SA- Nikkei Sep 24, 2013
Nikkei reported
that Marubeni Corp will join hands with Belgian chemical group Solvay SA to
install cogeneration systems at plants owned by companies in the steel,
chemical, and paper and pulp industries, among others. The duo will set up a
joint venture as early as this month in Paris alongside the Caisse des Depots
group, a government-backed French financial institution, with each holding a
33.3% interest. Marubeni and Solvay also plan to establish a second venture in
Asia by summer 2014. The location of the latter has yet to be determined, but
another Japanese firm with equipment design and management know-how may be
brought into the process.

Daiei Inc
announced that the settlement date for the takeover bid launched by Aeon Co Ltd
will be August 27, 2013. Accordingly, Aeon Co Ltd. will become the top
shareholder of Daiei Inc, with voting rights increasing from 19.89% to 44.24%.
Marubeni Corp will become the second major shareholder of Daiei Inc, with
voting rights decreasing from 29.34% to 5.00%.

GDF Suez SA
announced that it has signed a strategic-partnership agreement with the
Japanese company MARUBENI Corp with the sale of a 50% stake in its portfolio of
thermal and renewable power generation assets in Portugal, representing total
installed capacity of 3,300 MW1. The Company will keep a 50% share in the joint
venture established by the agreement and along with its new partner will
continue to operate and take care of the operational maintenance of the assets.
The portfolio is made up of a balanced set of coal- and gas-fired thermal power
plants with a capacity of 2,400 MW and renewable assets with a capacity of 900
MW.
Marubeni Corp to Take 25% Stake in Irish Renewables

Nikkei reported that Marubeni Corp will acquire 25%
of Irish wind power concern Mainstream Renewable Power Ltd.'s stock for EUR 100
million, or roughly JPY 13 billion. The shares will be issued to the Japanese
trading house via a private placement. Mainstream Renewable Power engages in
offshore and onshore wind power operations, along with solar power generation,
in seven countries, including South Africa, Chile and the U.S. It handles the
whole process from equipment procurement to facility construction and energy
sales, boasting solid technologies across the board.
Marubeni Corp Announces Spin-off of Business to New

Marubeni Corp announced that it has decided to spin
off its golf course operation business into a new wholly owned subsidiary,
which will be established in Hyogo, Japan, effective December 2, 2013. After
that, the Company will sell all shares in the subsidiary to Island Golf Co.,

Jiji Press reported that Marubeni Corp announced
that it will jointly develop power generation projects in Southeast Asia with a
Thai government-affiliated firm. The Japanese trading house and Bangkok-based
Global Power Synergy Co. will jointly develop independent power generation
projects in Thailand, Myanmar, Laos and Cambodia. Specifically, they will
consider projects suitable for each target country, such as coal- or gas-fired
thermal power generation for Thailand and hydroelectric power generation for
Laos.

NEC Mobiling Ltd announced that Marubeni Corp's
subsidiary, has acquired 13,001,211 shares of NEC Mobiling, at the price of JPY
5,510 per share, during the period from April 30, 2013 to June 12, 2013. The
payment will be conducted on June 19, 2013. As a result, Marubeni Corp's
subsidiary will become the top shareholder of NEC Mobiling, holding 130,012
voting rights (89.48%), up from 0 voting right (0%). NEC Corp will no longer
hold any voting right in NEC Mobiling, down from 74,100 voting rights (51.00%),
effective June 19, 2013.

amendment to the equity purchase agreement to modify the terms of the
acquisition for Gavilon Holdings, LLC. Pursuant to the amendment, Marubeni will
still acquire 100% of the equity interests of Gavilon, and the sellers will
receive approximately USD 2,600 million in cash and will retain Gavilon's
energy business, with Marubeni acquiring grain and fertilizer business.
Aircastle Ltd Announces Sale Of Common Shares To
Marubeni Corp Jun 06, 2013
Aircastle Ltd announced that it has entered into a
definitive agreement with Marubeni Corp (Marubeni) providing for the issuance
of approximately 15.25% of the Company's common shares, after giving effect to
the issuance, at a price of $17.00 per share, for gross proceeds of
approximately $209 million. The closing of the issuance is expected to occur
during the second or third quarter of 2013, subject to customary closing
conditions. In connection with the transaction, Aircastle and Marubeni also
entered into a shareholder agreement that will become effective upon the
completion of the issuance. At such time, Marubeni will have the right to
designate two directors for appointment to Aircastle's board of directors. The
shareholder agreement also contains certain provisions relating to Marubeni's
and its affiliates' ability to transfer and acquire Aircastle's securities.

2013. The Company and other four companies is demanded to pay damages of USD

(HKSTV) have signed a letter of intent in agreement of forming a strategic
partnership to create a joint enterprise on May 29, 2013. The parties'
objective is to increase export competitiveness of Japanese agricultural
product, and to bring safe, secure and high quality food and agricultural
products to Hong Kong, Macao, Taiwan and China's Huanan region. Marubeni and
HKSTV will collaboratively utilize HKSTV's TV, mobile phone, and Internet
networks that cover the broad region of Hong Kong, Macao, Taiwan and China's
Huanan region, and Marubeni's experience in procurement of agricultural
products.

NEC Mobiling Ltd announced that Marubeni's
subsidiary, a Tokyo-based company which is engaged in mobile business
operation, has launched takeover bid for 14,529,257 shares (a 100% stake) or no
less than 7,410,000 shares (a 51% stake), at the price of 5,510 per share, or
for JPY 80,056 million, during the period from April 30, 2013 to June 12, 2013.
The settlement date is June 19, 2013.

China Conditionally Clears $5.6 Billion Marubeni
Corp-Gavilon Deal Apr 23, 2013 reported that Chinese regulators on Tuesday gave
a qualified green light to Japanese trading house Marubeni Corp's $5.6 billion
purchase of U.S. grain merchant Gavilon, imposing stiff conditions that
underscore Beijing's anxiety over food security. The deal was announced almost
a year ago but has been held up for months by Beijing's close scrutiny of the
combined group, which would have a leading role in supplying soybeans and other
grains to China. U.S. and European antitrust authorities had already cleared
the transaction.

company, announced that it has signed a business alliance memorandum on
liquefied natural gas (LNG) with Marubeni Corp. Through the agreement, the two
companies will cooperate in LNG project located in Far East area of Russia, as
well as the joint development of oil and gas projects in Russia.
Myanmar Names Marubeni Corporation And Other
Bidders In Race For Two Mobile Licences Apr 11, 2013 reported that Myanmar has
announced the names of 12 international consortia that have pre-qualified to
bid for two mobile licences, moving closer to opening one of the last major
untapped mobile markets. The companies include Bharti Airtel Ltd, China Mobile
Ltd, KDDI CORP, MTN Group Ltd, Singapore Telecommunications Ltd, Telenor ASA
and Digicel, a group backed by billionaire George Soros. The pre-qualified
applicants will be required to submit their applications to the committee by
June 3, 2013. The committee expects to announce the names of two winners to
receive 15-year telecommunications licences by June 27, it said. China Mobile has
teamed up with Vodafone Group Plc, while France Telecom SA is working with
Marubeni Corporation, and Africa's MTN with M1 Telecom and Amara
Communications. SingTel has joined with Myanmar Telephone Co Ltd and KBZ, while
KDDI has teamed up with Japan's SUMITOMO CORP and Myanmar Information and
Communication Technology Development Corp. Other pre-qualifiers are Axiata
Group Bhd, Millicom International Cellular SA, Qatar Telecom QSC and Viettel
Group. The bidding has attracted wide interest from international telecoms
firms, which see huge opportunities in a country of 60 million where mobile
penetration is just 5%-10%, compared with rates of over 100% in many developed
markets.

For 51% Stake Mar 26, 2013 reported that NEC Corp will sell its mobile services
subsidiary NEC Mobiling Ltd for JPY70 to JPY80 billion ($742 million-$848
million), as the company sheds non-core assets after two years of losses.
Marubeni Corp's telecommunications unit and TD Mobile, a joint venture between
Toyota Tsusho Corp and Denso Corp, are vying for the 51% stake and a buyer may
be picked as early as next week. NEC Corp plans to cut 10,000 jobs, mostly from
its mobile phone unit which is struggling in the face of competition from Apple
Inc's iPhones and Samsung Electronics Co Ltd's Galaxy smartphones. NEC expects
to log a full-year operating profit of JPY100 billion ($1.1 billion) in fiscal
2013.

Chartering Project For Iracema Norte Area Of Brazilian Offshore Pre-Salt Oil

Modec Inc, Mitsui & Co., Ltd, Mitsui O.S.K.
Lines, Ltd and Marubeni Corporation announced that they have agreed that
Mitsui, MOL and Marubeni will invest in a long-term charter business (Project)
operated by MODEC for the purpose of providing a floating production, storage,
and offloading system (the FPSO,) for use in the Iracema Norte area of a
pre-salt oil field off the coast of Brazil. The above 4 companies (Companies)
have entered into definitive agreements on March 22, 2013. This Project is
subsequent to the long-term charter business for the purpose of providing an
FPSO for the use in the Iracema Sul area (*) in which the Companies invested
through Cernambi Sul MV24 B.V. For this Project, Mitsui, MOL and Marubeni will
invest in Cernambi Norte MV26 B.V. MV26 has signed a long-term chartering
agreement with Tupi B.V. The FPSO will be chartered to Tupi B.V. for 20 years
under this chartering agreement signed in February 2013. Construction of the FPSO
will involve the conversion of a VLCC (very large crude oil carrier), which
will be renamed FPSO Cidade de ITAGUA- MV26 upon its completion. It will be
deployed to the Iracema Norte area of the BM-S-11 block off the coast of Brazil
in the fourth quarter of 2015. MODEC and Mitsui have already provided three
FPSOs for pre-salt oil fields, and this will be their fourth pre-salt related
FPSO chartering project. It is the third project of its type for MOL and the
second for Marubeni.
Korea Electric Power Corp, Marubeni Corp Venture
Receives $2.3 Billion Vietnam Power Plant Order Mar 22, 2013 reported that
Korea Electric Power Corp and Marubeni Corp have won a $2.3 billion contract to
build and operate a coal-fired power plant in Vietnam, KEPCO said. The venture
plans to secure financing from Korea Eximbank and the Japan Bank for
International Cooperation, and contract the plant construction to Doosan Heavy
Industries & Construction.

Williams Partners LP announced that Marubeni Corp
has agreed to acquire a 49 % interest in Williams Partners` first Gulfstar FPS
project.The agreement is expected to close during the second quarter of 2013.
Upon closing of the agreement, Marubeni will contribute approximately $225
million to fund capital expenditures, following with monthly capital
contributions representing their 49-% interest.
