Dr. John K. KIBARIAN, Ph.D., is the Co-Founder of PDF Solutions Inc. and
has been its President since November 1991 and Chief Executive Officer since
July 2000. Dr. Kibarian has been Co-Chair of Electronic Design Automation
Consortium since May 29, 2014. He has been a Director of PDF Solutions Inc.,
since December 1992 and also serves as a Director of Electronic Design
Automation Consortium.
He received a B.S. in Electrical Engineering, a M.S. E.C.E. and a Ph.D.,
E.C.E. from
Dr. Kimon W. MICHAELS, PhD, founded PdF Solutions Inc. and has been its Vice
President of Products & Solutions since July 2010. Dr. Michaels served as
Vice President of Design for Manufacturability of PDF Solutions Inc., from June
2007 to June 2010. Dr. Michaels served as the Co-Vice President of Client
Services at PDF Solutions Inc. since November 2003. Dr. Michaels served as the
General Manager of Design - Manufacturability and Vice President of PDF
Solutions Inc. He served as Vice President of Field Operations for
Manufacturing Process of PDF Solutions Inc. from January 2006 to May 2007 and
served as its and Vice President-Integration Practices since November 1995.
He has been Director of PDF Solutions Inc. at November 1995. Dr.
Michaels received a B.S. in Electrical Engineering, a M.S. E.C.E. and a Ph.D.

Gregory C. WALKER, also known as Greg, has been the Chief Financial
Officer and Vice President of Finance at PDF Solutions Inc. since November 10,
2011 and serves as its Principal Accounting Officer. Mr. Walker served as the
Chief Financial Officer of InnoPath Software, Inc. since August 14, 2007 and
served as its Senior Vice President. Mr. Walker served as Chief Financial
Officer of Magma Design Automation Inc. from August 2002 to April 27, 2006 and

On July 28, 2014, PDF Solutions Inc. reported unaudited consolidated
earnings results for the second quarter and six months ended June 30, 2014.
For the quarter, the company's total revenues totaled $24.6 million,
down 1% when compared to total revenues of $24.8 million for the second fiscal
quarter of 2013. On a GAAP basis, net
income was $4.7 million, or $0.15 per basic and diluted share compared to $4.6
million or $0.15 per basic and diluted share for the second fiscal quarter of
2013. Non-GAAP net income was $9.0 million or $0.28 per diluted share compared
to $7.7 million or $0.25 per diluted share for the second fiscal quarter of
2013. EBITDAR was $10.6 million or $0.33 per diluted share compared to $9.4
million or $0.30 per diluted share for the second fiscal quarter of 2013.
Income from operations was $7.75 million compared to $7.42 million reported a
year ago. Income before income taxes was $7.73 million compared to $7.34
million reported a year ago.
For the six months, the company's total revenues totaled $51.7 million
compared to total revenues of $48.9 million reported a year ago. On a GAAP
basis, net income was $10.95 million, or $0.34 per diluted share compared to
$9.28 million or $0.30 per share reported a year ago. Non-GAAP net income was
$18.44 million or $0.58 per diluted share compared to $14.44 million or $0.47 per
diluted share reported a year ago. EBITDAR was $22.08 million or $0.69 per
diluted share compared to $17.51 million or $0.57 per diluted share reported a
year ago. Income from operations was $17.13 million compared to $13.75 million
reported a year ago. Income before income taxes was $17.02 million compared to
$13.92 million reported a year ago.
