Long Term Borrowings

 

Each OCD shall be convertible into 15 Equity Shares of the Company on the expiry of 20 years from date of allotment i.e. 31st March, 2012 or each OCD holders shall have an option of converting each OCD into 10 Equity Shares of Rs. 10/- each after expiry of 5 years from the date of allotment by giving 2 months’ notice in advance to the Company or if OCD is not converted shall stand redeemed at the expiry of 20 years from date of allotment at a price of Rs. 150/- per OCD. The Company can redeem OCD at any time with the consent of OCD holders.

 

At the option of the OCD holder, at any time after the expiry of 3 (three) years from the date of allotment till 12 (twelve) years from the date of allotment, OCDs (including all accrued but unpaid interest thereon) can be converted, by giving 1(one) month prior written notice, into such number of equity shares as may be worked out on the basis of valuation of Equity shares of the Company or Redemption, at the option of the OCD holder, at any time after the expiry of 6 (Six) months from the date of allotment, at an aggregate return of  12% p.a. on total amount invested by giving one month prior written notice. If OCDs are not converted into equity shares, it will be redeemed at the end of 12 years from the date of allotment at an aggregate return of 12% p.a. on the total amount invested. The interest payable on the OCDs shall accrue and be paid annually.
