OVERVIEW

Jubilant Generics Limited (Company) was incorporated as a wholly owned subsidiary of Jubilant Pharma Limited, Singapore (JPL) on November 25, 2013 and obtained Certificate for Commencement of Business on March 13, 2014.

To consolidate entire Pharma business under the umbrella of JPL, the Company will purchase two Business Undertakings, namely (i) Active Pharmaceuticals Ingredients (API) Business and (ii) Dosage Forms Business, of Jubilant Life Sciences Limited (JLL/ultimate holding company) together with all assets and liabilities including manufacturing facilities, R&D facilities, employees, contracts, licences, permits, rights, obligations, Intellectual Property Rights, consents and approvals relating to the said Business Undertakings from JLL.

Further, the Company has executed agreements with JLL for purchase of shares held by JLL as below:

a) 200 shares representing 18% share capital of Jubilant Pharma Holdings Inc., USA

b) 13,899,999 shares representing 77.65% share capital of Jubilant Pharma NV, Belgium.

Till date, the Company has not commenced its operations.

Corporate information

Jubilant Generics Limited (the Company) is a public limited company domiciled in India and incorporated on 25 November 2013 under the provisions of Companies Act, 1956. The Company is incorporated to engage in the manufacture and supply of Generics (including Active Pharmaceutical Ingredients (APIs) and Solid Dosage Formulations).

Basis of preparation and presentation of financial statements

The accounts of the Company are prepared under the historical cost convention on the accrual basis of accounting in accordance with the accounting principles generally accepted in India (“GAAP”) and comply with the mandatory accounting standards notified under the Companies (Accounting Standards) Rules, 2006, as amended, and the relevant provisions of the Companies Act, 1956 and/ or the Companies Act, 2013, as appropriate. The financial statements are presented in Indian rupees rounded off to the nearest thousand. The financial statements are presented as per revised Schedule VI to the Companies Act, 1956. All assets and liabilities have been classified as current or non-current as per the Company’s normal operating cycle and other criteria set out in the revised Schedule VI to the Companies Act, 1956.
