STATE OF AFFAIRS:

 

The turnover has increased in the current financial year by 10% in comparison to the FY 2015-16. The company is progressing in the direction of achievement of increased target in terms of turnover post the amalgamation in the previous year with the associated company Lakshya Enterprises Private Limited

 

 

AMALGAMATION OF LAKSHYA ENLERPRISES WITH THE COMPANY WITH EFFECT FROM 1ST APRIL, 2015

 

  1. The Company had submitted a Petition for amalgamation of Lakshya Enterprises Private Limited with the Company before the order of High Court of Gujarat. The said petition has been approved by the High Court of Gujarat vide its order dated 31st August, 2015. ln accordance to the scheme of amalgamation, all assets, liabilities, rights, powers, duties and obligations of the said company have been transferred to and vested in the Company with effect from 1st April'2015 on a going concern basis. Accordingly, the accounts of the Company have been prepared giving effect to the scheme and include transactions relating to the Amalgamating Company from 1st April 2016 to 31st August 2016 (P.Y. : 1st April 2016 Io 31st March 2016)

 

  1. The amalgamation being in the nature of merger has been accounted under the "Pooling of interests" method as prescribed by Accounting Standard-14 issued by the institute of Chartered Accountants of India. Hence, the assets and liabilities of all the erstwhile transferor company have been taken over of their book: values.

 

  1. Pursuant to the Scheme of Amalgamation, equity shores of INR 10/- representing o shore capital of INR 2.052 Million each have been allotted to the shareholders of the transferor company.

 

  1. The land and investments held by the erstwhile Amalgamating Company are in the process of being transferred in the name of the Company
